1l) Xrulture Support. Neither party makes any commifment to future support and <br />assumes no obligation for future support of any activity contracted for herein, except as may <br />be expressly set forth herein. <br />12) Ccrnpliance with X,aws. Each party, in its performance of this Agreement, agrees to <br />comply with all applicable local, State, and Federal laws and ordinanres. The parties <br />acknowledge that compliance r.vith applicable law shall not be construed in a manner that <br />requires performance by the Yakama Nation in violation of applicable Yakama lar,v. The <br />Parties further acknowledge that certain portions of Springwood Ranch are jointly owned <br />between the Yakama Nation and the Washinglon Department of Fish and Wildlife, to which <br />the joint owners exercise contractual obligations for management decisions through an <br />executed Memorandum of Understanding, attached hereto for purposes of disclosure. <br />13) [teiationship of $he Farties. Each party performing work hereunder is an <br />independent contractor with the authority to control and direct the performance of the details <br />of that work; however, the work contemplated herein shall be subject to the general rights of <br />inspection and review of the party requesting the work be done, to secure the satisfactory <br />completion thereof. <br />14) Disputes. If the parties disagree about the performance or interpretation of this <br />Agreement, they shall first attempt to resolve the disagreement through informal face-to-face <br />dialogue between the Yakama Nation's Fish and Wildlife Committee, acting as the oversight <br />body to the Yakama Nation's Fish and Wildlife Programs, and the Kittitas County Board of <br />Commissioners Chair, or their designees. <br />If the parties cannot resolve the disagreement through informal dialogue, they shall endeavor <br />to resolve their dispute by non-binding mediation in accordance with the mediation rules of the <br />American Arbitration Association. The party demanding mediation shali submit the demand to <br />the other party in writing and in accordance with the notice provisions herein. A parfy cannot <br />submit a demand for mediation after the date when the filing of legal or equitable proceedings <br />based on the controversy, claim, or other matter in question wouldbe barred by the applicable <br />statute of limitations. The parties shall share equally the costs of hiring a mediator and <br />securing a suitable location for the mediation proceedings. Any mediation initiated under this <br />Agreement will be held at a mutually agreeable location in Toppenish or Ellensburg, <br />Washington. <br />15) Jurisdiction. Any legal dispute between the parties to this Agreement shall be <br />govemed by the laws of the State of Washington, and any action arising frorn this Agreement <br />shall be brought in Kittitas County, Washington. <br />16) Iiflodi{ication" The provisions of this Agreement may be modified or amended only by <br />written mutual written agreement of the parties, executed by personnel authorized to bind each <br />of the parties.
