A.13LEGALRELATIONSitisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthepartiestotheAgreementandgivesnorighttoanyotherpany.NojointventureorpannershipisformedasaresultofthisAgreement.Totheextentallowedbylaw,theSubrecipient,itssuccessorsorassigns,willprotect,saveandholdharmlesstheDepadment,thestateofWashington,andtheUnitedStatesGovernmentandtheirauthorizedagentsandemployees,fromallclaims,actions,costs,damagesorexpensesofanynaturewhatsoeverbyreasonoftheactsoromissionsoftheSubrecipient,itssubcontractors,subrecipients,assigns,agents,contractors,consultants,licensees,invitees,employeesoranypersonwhomsoeverarisingoutoforinconnectionwithanyactsoractivitiesauthorizedbythisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestodefendtheDepartmentandthestateofWashingtonandtheirauthorizedagentsandemployeesinanylitigation;includingpaymentofanycostsorattorneys'feesforanyclaimsoractioncommencedthereonarisingoutoforinconnectionwithactsoractivitiesauthorizedbythisAgreement.Thisobligationshallnotincludesuchclaims,costs,damagesorexpenseswhichmaybecausedbythesolenegligenceoftheDepaliment;provided,thatiftheclaimsordamagesarecausedbyorresultfromtheconcurrentnegligenceof(1)theDepartment,and(2)theSubrecipient,itsagents,oremployees,thisindemnityprovisionshallbevalidandenforceableonlytotheextentofthenegligenceoftheSubrecipient,ortheSubrecipient'sagentsoremployees,Insofarasthefundingsource,FEMAisanagencyoftheFederalgovernment,thefollowingshallapply:44CFR206.9Non-liability.TheFederalgovernmentshallnotbeliableforanyclaimbasedupontheexerciseorperformanceof,orthefailuretoexerciseorperformadiscretionaryfunctionordutyonthepartofafederalagencyoranemployeeoftheFederalgovernmentincarryingouttheprovisionsoftheStaffordAct.A.14LIMITATIONOFAUTHORITY-AUTHORIZEDSIGNATUREThesignatoriestothisAgreementrepresentthattheyhavetheauthoritytobindtheirrespectiveorganizationstothisAgreement.OnlytheDepartment'sAuthorizedSignaturerepresentativeandtheAuthorizedSignaturerepresentativeoftheSubrecipientorAlternatefortheSubrecipient,formallydesignatedinwriting,shallhavetheexpress,implied,orapparentauthoritytoalter,amend,modify,orwaiveanyclauseorconditionofthisAgreement.Anyalteration,amendment,modification,orwaiverofanyclauseorconditionofthisAgreementisnoteffectiveorbindingunlessmadeinwritingandsignedbybothparties'AuthorizedSignaturerepresentatives,exceptasprovidedfortimeextensionsinArticleA.3.Further,onlytheAuthorizedSignaturerepresentativeorAlternatefortheSubrecipientshallhavesignatureauthoritytosignreimbursementrequests,timeextensionrequests,amendmentandmodificationrequests,requestsforchangestoprojectsorworkplans,andotherrequests,certificationsanddocumentsauthorizedbyorrequiredunderthisAgreement.A.15LOSSORREDUCTIONOFFUNDINGIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisAgreementandpriortonormalcompletionorenddate,theDepartmentmayunilaterallyreducetheworkplanandbudgetorunilaterallyterminateallorpartoftheAgreementasa"TerminationforCause"withoutprovidingtheSubrecipientanopportunitytocure.Alternatively,thepartiesmayrenegotiatethetermsofthisAgreementunder"AmendmentsandModifications"tocomplywithnewfundinglimitationsandconditions,althoughtheDepartmenthasnoobligationtodoso.A.16NONASSIGNABILITYNeitherthisAgreement,noranyclaimarisingunderthisAgreement,shallbetransferredorassignedbytheSubrecipient.A.17NONDISCRIMINATIONDuringthepedormanceofthisagreement,theSubrecipientshallcomplywithallfederalandstatenondiscriminationstatutesandregulations.Theserequirementsinclude,butarenotlimitedto:a.NondiscriminationinEmployment:TheContractorshallnotdiscriminateagainstanyemployeeorapplicantforemploymentbecauseofrace,color,sex,sexualorientation,religion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteransstatus,orthepresenceofanysensory,DHS-FEMA-EMPG-FY22Page16of39KittitasCounty,E23-184
