7.1.5CommercialandOtherUses.a.ForpurposesofthisSection7-ResponsibilitiesofEachParty,CommercialUsemeansanyactivityonoraffectingtheProjectthatwasnotdescribedintheSubrecipient'sproposal,ornotapprovedinwritingbyMLE,wheretheSubrecipient:1.hasfinancialprofitasagoal,2.chargesanyfeesorreceivesanybenefittoprovidesentices,suppliesorgoods,or3.allowsthirdpartiestochargeanyfeesorreceiveanybenefittoprovidesentices,suppliesorgoods.b.SubrecipientmustrestrictuseoftheProjectfundstoonlyrecreationalboatsboatingsafetyenforcementandeducation.7.1.6Publications&Advertising.TheSubrecipientshallincludethefollowingstatementifpublishinganyreport,newsreleaseorpublicationregardingthisproject:"PartialfundingwasthroughtheWashingtonStateParksandRecreationCommissionMarineLawEnforcementProgram,andincooperationwithU.S.RecreationalBoatingSafetyAct."7.1.7ProjectSign.TheSubrecipientmaypostinaconspicuouslocationonthevessel,asignidentifyingWSPRC,may,FederalAgency'sandspecificfederalgrantprogram'sparticipationintheProject.TheSubrecipientshallincludethefollowingstatementifpublishinganyreport,newsreleaseorpublicationregardingthisproject:"PartialfundingforthisprojectwasprovidedbytheWashingtonStateParksMarineLawEnforcementProgram.ThisprograrnisfundedbytheU.S.C.G.throughtheSportFishRestorationandBoatingTrustFund,whichisfinancedbyyourpurchaseofmotorboatfuelsandfishingequipment."7.1.8PublicAccesstoProject.DuringthetermofthisAgreementtheSubrecipientshallallowopenandunencumberedpublicaccesstotheProjecttoallpersonswithoutregardtorace,color,religiousorpoliticalbeliefs,sex,nationalorigin,orplaceofprimaryresidence.7.1.9Payments.Subrecipientagreesto:a.Makepaymentpromptlyasduetoallcontractors,subcontractors,vendors,oranyotherpersonssupplyinglaborormaterialsfortheProject;b.Allemployers,includingSubrecipientthatemploysubjectworkersshallprovideworkers'compensationinsurancecoverageforthoseworkers,unlesstheymeettherequirementforexemption.Subrecipientshallrequireandensurethateachofitssubcontractorscomplieswiththeserequirements(unlessinapplicableasamatteroffederallaw);andc.NotpermitanylienorclaimtobefiledorprosecutedagainstWSPRC,duetoanyconstructionormaintenanceactivitiesattheProject.7.1.10AlternativeDisputeResolution.ThePadiesshouldattemptingoodfaithtoresolveanydisputearisingoutofthisagreement.Thismaybedoneatanymanagementlevel,includingatalevelhigherthanpersonsdirectlyresponsibleforadministrationoftheagreement.Inaddition,thePartiesmayagreetoutilizeajointlyselectedmediatororarbitrator(fornon-bindingarbitration)toresolvethedisputeshodoflitigation.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page5of35
