SECTION34:ASSIGNMENTANDSUCCESSORSININTERESTSubrecipientmaynotassignortransferitsinterestinthisAgreementandanyattemptbySubrecipienttoassignortransferitsinterestinthisAgreementwillbevoidandofnoforceoreffectTheprovisionsofthisAgreementwillbebindinguponandinuretothebenefitofthePartieshereto,andtheirrespectivesuccessors.AnysubgrantenteredintounderthisAgreementshallcontaintermsandconditionssubstantiallysimilartothisAgreement,includingFederalprovisionscontainedinExhibitAandthesubgrantshall:a.IfthecontractisnottoaunitofWashingtonStategovernment,thecontractshallrequiretheSubrecipienttoindemnify,defend,saveandholdharmlessthestateofWashingtonanditsofficers,employees,andagents("indemnitee")fromandagainstanyandallclaims,actions,liabilities,damages,lossesorexpensesarisingfromatort,causedorallegedtobecaused,inwholeorinpart,bythenegligentorwillfulactsoromissionsofSubrecipient'scontractororanyoftheofficers,agents,employeesorsubcontractorsofthecontractor("claims").ItisthespecificintentionsofthepartiesthattheIndemniteeshall,inallinstances,exceptforclaimsarisingsolelyfromthenegligentorwillfulactsoromissionsoftheIndemnitee,beindemnifiedbythecontractorfromandagainstanyandallClaims.SECTION35:SUBcoNTRACTS&SUB-AWARDSSubrecipientshallnot,withoutMLE'spriorwrittenconsent,enterintoanysubcontractsorfollow-onsub-recipientsub-awards(workcarriedoutbypartiesotherthantheSubrecipient)foranyoftheworkrequiredofSubrecipientunderthisAgreement.Subrecipient'sconsenttoanycontract,subcontract,sub-awardwillnotrelieveSubrecipientofanyofitsdutiesorobligationsunderthisAgreement.SECTION36:TIMEISOFTHEESSENCETimeisoftheessenceinSubrecipient'sperformanceofitsobligationsunderthisAgreement.SECTION37:MERGERANDWAIVERThisAgreementandallExhibitsandAttachments,ifany,constitutetheentireagreementbetweenthePartiesonthesubjectmatterhereof.Therearenounderstandings,agreements,orrepresentations,oralorwritten,notspecifiedhereinregardingthisAgreement.NowaiverorconsentunderthisAgreementbindseitherPaityunlessinwritingandsignedbybothParties.Suchwaiverorconsent,ifmade,iseffectiveonlyinthespecificinstanceandforthespecificpurposegiven.FailurebyMLEtoinsistuponthestrictperformanceofanyprovisionofthisagreementshallnotaffectMLE'srighttorequirestrictperformanceofthesameprovisioninthefutureoranyotherprovision.FailurebyMLEtoexerciseanyrightbaseduponabreach,oracceptancebyMLEofpelformanceduringsuchbreach,shallnotconstituteawaiverofanyofitsrightsorremedieswithrespecttosuchbreach.EACHPARTY,BYSIGNATUREOFITSAUTHORIZEDREPRESENTATIVE,HEREBYACKNOWLEDGESTHATITHASREADTHISAGREEMENT,UNDERSTANDSIT,ANDAGREESTOBEBOUNDBYITSTERMSANDCONDITIONS.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page23of35
