SECTION38:RECORDSMAINTENANCEANDACCESSSubrecipientshallmaintainallfinancialrecordsrelatingtothisAgreementinaccordancewithgenerallyacœptedaccountingprinciples.Inaddition,Subrecipientshallmaintainanyotherrecords,books,documents,papers,plans,recordsofshipmentsandpaymentsandwritingsofSubrecipient,whetherinpaper,electronicorotherform,thatarepertinenttothisAgreementinsuchamannerastoclearlydocumentSubrecipient'spedormance.Allfinancialrecords,otherrecords,books,documents,papers,plans,recordsofshipmentsandpaymentsandwritingsofSubrecipient,whetherinpaper,electronicorotherform,thatarepertinenttothisAgreement,arecollectivelyreferredtoas"Records."SubrecipientacknowledgesandagreesthatWashingtonStateParksandRecreationCommissionandthefederalgovernmentandtheirdulyauthorizedrepresentativeswillhaveaccesstoallRecordstoperformexaminationsandauditsandmakeexcerptsandtranscripts.SubrecipientshallretainandkeepaccessibleallRecordsforaminimumofsix(6)years,orsuchlongerperiodasmayberequiredbyapplicablelaw,followingterminationofthisAgreement,oruntiltheconclusionofanyaudit,controversyorlitigationarisingoutoforrelatedtothisAgreement,whicheverdateislater.SECTION39:HEADINGSTheheadingsandcaptionstosectionsorsubsectionsofthisAgreementhavebeeninsertedforidentificationandreferencepurposesonlyandmaynotbeusedtoconstruethemeaningortointerpretthisAgreement.SECTION40:INCORPORATIONBYREFERENCESANDORDEROFPRECEDENCEThetablebelowreflectsthedocumentsthatareincorporatedbyreference(whetherattachedornot)andtheorderofprecedenceshouldtherebeaconflictbetweenthepartsofdocumentorotherdocumentsincorporatedbyreference.Thelowerthenumber,thehighertheprecedence.Wheretwoormoredocumentsaddressapointorconceptbutarenotinconflict,theyshouldbereadassupplemental,additive,and/orcumulative.PrecedenceDocument1(highest)UnitedStatesofAmericaLawsorRulesANDWashingtonStateLawsandRules2Amendmentstoanyofthedocumentslistedbelowshallcontrolovertheearlierversionofthatsamedocumentorearlieramendmenttothatsamedocument.3EXHIBITA-FEDERALCOMPLIANCETERMS4EXHIBITB-INFORMATIONREQUIREDBY2CFR§200.211(b)5EXHIBITC-2CFR200,Appendixll-TERMSMLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page24of35
