29.3.2OffsettingagainstanyamountowedtoSubrecipient,andwithholdingofamountsotherwisedueandowingtoSubrecipient,inanamountequaltoState'ssetoffright,withoutpenalty;and:29.3.3Initiationofanactionorproceedingfordamages,specificpedormance,declaratoryorinjunctiverelief.MLEmayrecoveranyandalldamagessufferedastheresultofSubrecipient'sbreachofthisAgreement,includingbutnotlimitedtodirect,indirect,incidental,andconsequentialdamages,costsofcure,andcostsincurredinsecuringreplacementServicesandapplications.ThestateofWashingtonmaytakeanyandallactionspermittedbylawrelativetothecollectionoftaxesduetothestateofWashingtonorapoliticalsubdivision,including(i)garnishingtheSubrecipient'scompensationunderthisAgreementor(ii)exercisingarightofsetoffagainstSubrecipient'scompensationunderthisAgreementforanyamountsthatmaybedueandunpaidtothestateofWashington.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successively,orinanyorderwhatsoever.SECTION30:INDEPENDENTCONTRACTORSThePartiesagreeandacknowledgethattheirrelationshipisthatofindependentcontractingpartiesandthatSubrecipientisnotanofficer,employee,oragentofthestateofWashington.SECTION31:PERSONSNOTTOBENEFITNomemberofordelegatetoCongress,residentcommissioner,officer,agentoremployeeoftheUnitedStatesofAmerica,memberoftheWashingtonLegislativeAssembly,electedofficialofthestateofWashington,orofficial,agent,oremployeeofthestateofWashington,orelectedmember,officer,agent,oremployeeofanypoliticalsubdivision,municipalityormunicipalcorporationofthestateofWashingtonshallbeadmittedtoanyshareorpadofthisAgreementorderiveanyfinancialbenefitthatmayarisetherefrom.SECTION32:INTENDEDBENEFICIARIESMLEandSubrecipientaretheonlypartiestothisAgreementandaretheonlypadiesentitledtoenforceitsterms.NothinginthisAgreementprovides,isintendedtoprovide,ormaybeconstruedtoprovideanydirectorindirectbenefitorrighttothirdpersonsunlesssuchthirdpersonsareindividuallyidentifiedbynamehereinandexpresslydescribedasintendedbeneficiariesofthisAgreement.SECTION33:FORCEMAJEURENeitherPartyisresponsibleforanyfailuretopedormoranydelayinperformanceofanyobligationsunderthisAgreementcausedbyfire,civilunrest,laborunrest,naturalcauses,orwar,whichisbeyondthatPady'sreasonablecontrol.EachPartyshall,however,makeallreasonableeffodstoremoveoreliminatesuchcauseoffailuretopedormordelayinpedormanceandshall,uponthecessationofthecause,diligentlypursuepedormanceofitsobligationsunderthisAgreement.MLEmayterminatethisAgreementuponwrittennoticetoSubrecipientafterreasonablydeterminingthatthefailureordelaywilllikelypreventsuccessfulperformanceofthisAgreement.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page22of35
