SECTION27:SEVERABILITYThePartiesagreethatifanytermorprovisionofthisAgreementisdeclaredbyacoudofcompetentjurisdictiontobeillegalorinconflictwithanylaw,thevalidityoftheremainingtermsandprovisionswillnotbeaffected,andtherightsandobligationsofthePartieswillbeconstruedandenforcedasiftheAgreementdidnotcontaintheparticulartermorprovisionheldtobeinvalid.SECTION28:COUNTERPARTSThisAgreementmaybeexecutedinseveralcounterpads,allofwhichwhentakentogethershallconstituteoneagreement,notwithstandingthatallPartiesarenotsignatoriestothesamecounterpart.EachcopyoftheAgreementsoexecutedconstitutesanoriginal.SECTION29:COMPLIANCEWITHLAW29.1CompliancewithLawGenerally.Subrecipientshallcomplywithallfederal,state,andlocallaws,regulations,executiveorders,andordinancesapplicabletoSubrecipientandtheAgreement.29.2PenaltyofPerjury.ByitsexecutionofthisAgreement,SubrecipientcertifiesunderpenaltyofperjuryunderthelawsofthestateofWashingtonthetruthfulness,completeness,andaccuracyofanystatementorclaimithasmade,itmakes,itmaymake,orcausestobemadethatpertainstothisAgreement.29.3TaxCompliance.Subrecipienthascompliedwiththetaxlawsofthisstateandtheapplicabletaxlawsofanypoliticalsubdivisionofthisstate.Subrecipientshall,throughoutthedurationofthisAgreementandanyextensions,complywithalltaxlawsofthisstateandallapplicabletaxlawsofanypoliticalsubdivisionofthisstate.ForthepurposesofthisSection29.3-TaxCompliance,"taxlaws"includes:(i)Alltaxlawsofthisstate;(ii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,toSubrecipient'sproperty,operations,receipts,orincome,ortoSubrecipient'speiformanceoforcompensationforanyworkperformedbySubrecipient;(iii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,ortogoods,services,orproperty,whethertangibleorintangible,providedbySubrecipient;and(iv)Anyrules,regulations,charterprovisions,orordinancesthatimplementedorenforcedanyoftheforegoingtaxlawsorprovisions.AnyfailuretocomplywiththeprovisionsofthisSection29-CompliancewithLawconstitutesamaterialbreachofthisAgreement.AnyfailuretocomplywithSubrecipient'scertificationsshallconstituteamaterialbreachofthisAgreement.AnyfailuretocomplyshallentitleMLEtoterminatethisAgreement,topursueandrecoveranyandalldamagesthatarisefromthebreachandtheterminationofthisAgreement,andtopursueanyoralloftheremediesavailableunderthisAgreement,atlaw,orinequity,includingbutnotlimitedto:29.3.1TerminationofthisAgreement,inwholeorinpali,thisisinadditiontoanyremediesavailableunderSection22-Termination.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page21of35
