22.5RightsandRemedies.a.TheSubrecipientshall,within30daysofitsreceiptofanoticeofdefault,reimburseMLEforallfundscontributedbyMLEtotheProject.Further,MLEshallhaveanyandallrightsandremediesavailableatlaworinequity.b.IntheeventthatSubrecipienthasmateriallyfailedtocomplywiththisAgreementandsuchnon-compliancehasresultedintheFederalFundingAgencyterminatingMLE'sgrantorcauseorrequiresMLEtoretumfundstotheFederalFundingAgency,SubrecipientwillreturntoMLEanamountequaltothefundswhichMLEisnotreimbursedfororisrequiredtoreturntoFederalFundingAgency.SECTION23:NONAPPROPRIATIONMLE'sobligationtopayanyamountsandothenviseperformitsdutiesunderthisAgreementisconditioneduponMLEreceivingfunding,appropriations,limitations,allotments,orotherexpenditureauthoritysufficienttoallowMLE,intheexerciseofitsreasonableadministrativediscretion,tomeetitsobligationsunderthisAgreement.SECTION24:AMENDMENTSThetermsofthisAgreementmaynotbealtered,modified,supplemented,orotherwiseamended,exceptbywrittenagreementoftheParties.Thisagreementmaybeamendedonlybymutualagreementofthepartiesinwriting.Formalwrittenamendmentofthecontractisrequiredforchangingthetermsandconditionsspecificallystatedintheoriginalagreementandanyprioramendments,includingbutnotlimitedto:•Budgetrevisions•Scopeofwork•Changeinduedates•Extensionsoftheperiodofperformance•AnyotherrevisionsdeterminedmaterialbyMLESECTION25:NOTICEExceptasotherwiseexpresslyprovidedinthisAgreement,anynoticestobegivenrelatingtothisAgreementmustbegiveninwritingbyemail,personaldelivery,orpostageprepaidmail,toaPady'sAuthorizedRepresentativeatthephysicaladdressortosuchotheraddressesaseitherPadymayindicatepursuanttothisSection24-Amendments.Anynoticesoaddressedandmailedbecomeseffectivefive(5)daysaftermailing.Anynoticegivenbypersonaldeliverybecomeseffectivewhenactuallydelivered.SECTION26:SURvivALAllrightsandobligationsofthePartiesunderthisAgreementwillceaseuponterminationofthisAgreement,otherthantherightsandobligationsarisingunderSection11-GovemingLawandConsenttoJurisdiction,Section13-OwnershipofVVorkProduct,Section20-RecoveryofOverpayments,Section21-LimitationofLiability,andSection26-SurvivalhereofandthoserightsandobligationsthatbytheirexpresstermssurviveterminationofthisAgreement;provided,however,thatterminationofthisAgreementwillnotprejudiceanyrightsorobligationsaccruedtothePadiesunderthisAgreementpriortotermination.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page20of35
