SECTION22:TERMINATION22.1TerminationforConvenience.TheSubrecipientmayterminatethisAgreementatanytimeuponthirty(30)dayspriorwrittennoticetoMLE;provided,however,thattheSubrecipientshall,withinthirty(30)daysofsuchtermination,reimburseMLEforallfundscontributedbyMLEtotheProject;providedfurtherthatuntiltheSubrecipienthasfullyreimbursedMLEforsuchfunds,theSubrecipientshallcomplywiththetermshereof.Delinquentpaymentsshallbearinterestattherateof12percent(12%)perannum,ifsuchrateshallexceedthemaximumrateallowedbylaw,thenassuchmaximumrate,andshallbepayableondemand.Afterninety(90)daysMLEmayturnanydelinquentdebtoverforcollection.22.2TerminationBecauseofInefficiency.Useoffederalfundsdemandsgoodstewardship.MLEinanongoingbasiswillbemonitoringtheperformanceofthesubrecipientthroughthesubrecipient'sreportingintotheMLEStatementofActivityRepodingsystem.IfinMLE'sopinion,thesemetricsdemonstratepoorstewardshiptheAgreementwillbeterminated.Iffeasible,MLEmayworkwiththeSubrecipientandgivetheSubrecipientanopportunitytoimprovethemetricstowhatMLEbelievesisahealthymetric.22.3TerminationBecauseofNon-AppropriationorProjectIneligibility.MLE,asprovidedinSection33-ForceMajeure,maymodifyorterminatethisAgreementandatanytimeupon30dayspriorwrittennoticetotheSubrecipient,maymodifyorterminatethisAgreementif:a.MLEfailstoreceivefundingorallotments,appropriations,limitations,orotherexpenditureauthorityatlevelssufficienttopayfortheallowablecostsoftheProjecttobefundedhereunderorshouldanystatelaw,regulationorguidelinebemodified,changed,orinterpretedinsuchawaythattheProject,oranypodionoftheProject,isnolongereligibleforfacilitygrantfunds.b.IntheeventinsufficientfundsareappropriatedforthepaymentsunderthisAgreementandtheSubrecipienthasnootherlawfullyavailablefunds,thentheSubrecipientmayterminatethisAgreementattheendofitscurrentfederalfiscalyear,withnofudherliabilitytoMLE.TheSubrecipientshalldeliverwrittennoticetoMLEofsuchterminationnolaterthan30daysfromthedeterminationbytheSubrecipientoftheeventofnon-appropriation.MLEshallpayforallauthorizedProjectcostsexpendeduptothedateofwrittennoticeoftermination.22.4TerminationforDefault.MLE,atanytimeupon30dayspriorwrittennoticeofdefaulttotheSubrecipient,maymodifyorterminatethisAgreementif:a.Thedesignandimplementation,oftheProjectisnotpursuedwithduediligence;orb.TheProjectisnotpermissibleunderfederal,state,orlocallaw;orc.TheSubrecipient,doesnotabidebythenondiscriminationandaftlrmativeactionprovisionsofthisAgreement;ord.TheSubrecipient,withoutthepriorwrittenapprovalofMLEusesthefundsprovidedbyMLEhereundertopursueanyprojectotherthantheProjectdescribedinthefinalprojectapprovedbyMLE;ore.DuringthetermofthisAgreement,theSubrecipientfailstoperformanyobligationorrequirementofthisAgreement.f.TheSubrecipientdefaultsunderanyotheragreementbetweenthePadies.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page19of35
