SECTION19:REMEDIES19.1IntheeventSubrecipientisindefaultunderSection16-SubrecipientDefaultMLEmay,atitsoption,pursueanyoralloftheremediesavailabletoitunderthisAgreementandatlaworinequity,including,butnotlimitedto:(a)terminationofthisAgreementunderSection22-Termination,(b)reducingorwithholdingpaymentforworkorWorkProductthatSubrecipienthasfailedtodeliverwithinanyscheduledcompletiondatesorhasperformedinadequatelyordefectively,(c)requiringSubrecipienttoperform,atSubrecipient'sexpense,additionalworknecessarytosatisfyitsperformanceobligationsormeetperformancestandardsunderthisAgreement,(d)initiationofanactionorproceedingfordamages,specificperformance,ordeclaratoryorinjunctiverelief,or(e)exerciseofitsrightofrecoveryofoverpaymentsunderSection20-RecoveryofOverpayments(whichisinadditiontotheremediesprovidedinSection9.7-Overpayment),ofthisAgreementorsetoff,orboth.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successivelyorinanyorderwhatsoever.19.2IntheeventMLEterminatesthisAgreementunderSection22.1-TerminationforConvenience,Section22.2TerminationforInefficiency,Section22.3-TerminationBecauseofNon-AppropriationorProjectlneligibility,orSection22.4-TerminationforDefault,Subrecipient'ssolemonetaryremedywillbe(a)forworkcompensableatastatedrate,aclaimforunpaidinvoicesforworkcompletedandacceptedbyMLE,forworkcompletedandacceptedbyMLEwithinanylimitssetfodhinthisAgreementbutnotyetinvoiced,forauthorizedexpensesincurred,lessanyclaimsMLEhasagainstSubrecipient,and(b)fordeliverable-basedwork,aclaimforthesumdesignatedforcompletingthedeliverablemultipliedbythepercentageofworkcompletedonthedeliverableandacceptedbyMLE,forauthorizedexpensesincurred,lesspreviousamountspaidforthedeliverableandanyclaimsthatMLEhasagainstSubrecipient.InnoeventwillMLEbeliabletoSubrecipientforanyexpensesrelatedtoterminationofthisAgreementorforanticipatedprofits.IfpreviousamountspaidtoSubrecipientexceedtheamountduetoSubrecipientunderthisSection19.2,SubrecipientshallpromptlypayanyexcesstoMLE.SECTION20:RECOVERYOFOVERPAYMENTSInadditiontotheremediesprovidedinSection9.7-Overpayment,ifpaymentstoSubrecipientunderthisAgreement,oranyotheragreementbetweenMLEandSubrecipient,exceedtheamounttowhichSubrecipientisentitled,MLEwillnotreimburseanyfurtherclaims.Inaddition,MLEwillrequirerepaymentofanyoverpaymentsasreflectedinSection9.7ofthisagreement.may,afternotifyingSubrecipientinwriting,withholdfrompaymentsdueSubrecipientunderthisAgreement,suchamounts,oversuchperiodsoftimes,asarenecessarytorecovertheamountoftheoverpayment.SECTION21:LIABILITYTHESUBRECIPIENTSHALLBELIABLEFORINCIDENTAL,CONSEQUENTIAL,OROTHERINDIRECTDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,REGARDLESSOFWHETHERTHELIABILITYCLAIMISBASEDINCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,PRODUCTLIABILITYOROTHERWISE.NEITHERPARTYWILLBELIABLEFORANYDAMAGESOFANYSORTARISINGSOLELYFROMTHETERMINATION,EXPIRATION,ORSUSPENSIONOFTHISAGREEMENTINACCORDANCEWITHITSTERMS.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page18of35
