SECTION16:SUBRECIPIENTDEFAULTSubrecipientwillbeindefaultunderthisAgreementupontheoccurrenceofanyofthefollowingevents:16.1Subrecipientfailstoperform,observe,ordischargeanyofitscovenants,agreements,orobligationsunderthisAgreement;16.2Anyrepresentation,warrantyorstatementmadebySubrecipientinthisAgreementorinanydocumentsorreportsrelieduponbyMLEtomeasurethedeliveryofservices,theexpenditureoffundsortheperformancebySubrecipientisuntrueinanymaterialrespectwhenmade;16.3Subrecipient(a)appliesfororconsentstotheappointmentof,ortakingofpossessionby,areceiver,custodian,trustee,orliquidatorofitselforallofitspropedy,(b)admitsinwritingitsinability,orisgenerallyunable,topayitsdebtsastheybecomedue,(c)makesageneralassignmentforthebenefitofitscreditors,(d)isadjudicatedabankruptorinsolvent,(e)commenœsavoluntarycaseundertheFederalBankruptcyCode(asnoworhereafterineffect),(f)filesapetitionseekingtotakeadvantageofanyotherlawrelatingtobankruptcy,insolvency,reorganization,winding-up,orcompositionoradjustmentofdebts,(g)failstocontrovedinatimelyandappropriatemanner,oracquiescesinwritingto,anypetitionfiledagainstitinaninvoluntarycaseundertheBankruptcyCode,or(h)takesanyactionforthepurposeofeffectinganyoftheforegoing;or16.4Aproceedingorcaseiscommenced,withouttheapplicationorconsentofSubrecipient,inanycourtofcompetentjurisdiction,seeking(a)theliquidation,dissolutionorwinding-up,orthecompositionorreadjustmentofdebtsofSubrecipient,(b)theappointmentofatrustee,receiver,custodian,liquidator,orthelikeofSubrecipientorofalloranysubstantialpartofitsassets,or(c)similarreliefinrespecttoSubrecipientunderanylawrelatingtobankruptcy,insolvency,reorganization,winding-up,orcompositionoradjustmentofdebts,andsuchproceedingorcasecontinuesundismissed,oranorder,judgment,ordecreeapprovingororderinganyoftheforegoingisenteredandcontinuesunstayedandineffectforaperiodofsixtyconsecutivedays,oranorderforreliefagainstSubrecipientisenteredinaninvoluntarycaseundertheFederalBankruptcyCode(asnoworhereafterineffect).SECTION17:INDEMNIFICATIONSubrecipientshallholdharmless,saveharmless,indemnify,anddefendattheSubrecipient'sexpensetheStateofWashington,Commission,itofficers,employees,successorsandassignsagainstanyandalldamagesand/orlossesarisingoutofSubrecipient'suseof,orpresenceoractivityin,thefacilities,includingthosearisingoutoftheuseoroperationofequipmentorfacilitiesorasaresultoftheconductofSubrecipient'sprograms,orfromtheconductofSubrecipient'semployeesoragents,ordamagesorvandalismtofacilitiesbythird-parties,contractedorpadicipatinginSubrecipient'sprograms,eventsoractivities.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page16of35
