SECTION14:NODUPLICATEPAYMENTTheSubrecipientshallnotbecompensatedfor,orreceiveanyotherformofduplicate,overlappingormultiplepaymentsforthesameworkperformedunderthisAgreementfromanyagencyoftheStateofWashington,including,butnotlimitedtotheWashingtonStateParksRecreationCommission,ortheUnitedStatesofAmericaoranyotherparty.SECTION15:coNTRIBUTIONONTHIRDPARTYCLAIMS15.1Ifanythirdpartymakesanyclaimorbringsanyaction,suitorproceedingallegingagainstaPady(the"NotifiedParty")withrespecttowhichtheotherParty(the"OtherPady")mayhaveliability,theNotifiedPartyshallpromptlynotifytheOtherPartyinwritingoftheThirdPartyClaimanddelivertotheOtherParty,alongwiththewrittennotice,acopyoftheclaim,processandalllegalpleadingswithrespecttotheThirdPartyClaimthathavebeenreceivedbytheNotifiedPady.EachPadyisentitledtopadicipateinthedefenseofaThird-PartyClaim,andtodefendaThird-PartyClaimwithcounselofitsownchoosing.ReceiptbytheOtherPartyofthenoticeandcopiesrequiredinthisSection15-ContributiononThirdPartyClaimsandameaningfulopportunityfortheOtherPartytoparticipateintheinvestigation,defense,andsettlementoftheThird-PartyClaimwithcounselofitsownchoosingareconditionsprecedenttotheOtherParty'scontributionobligationunderthisSection13--OwnershipofWorkProductwithrespecttotheThird-PartyClaim.15.2WithrespecttoaThirdPartyClaimforwhichMLEisjointlyliablewithSubrecipient(orwouldbeifjoinedintheThirdPartyClaim),MLEshallcontributetotheamountofexpenses(includingattorneys'fees),judgments,finesandamountspaidinsettlementactuallyandreasonablyincurredandpaidorpayablebySubrecipientinsuchproportionasisappropriatetoreflecttherelativefaultofMLEontheonehandandofSubrecipientontheotherhandinconnectionwiththeeventsthatresultedinsuchexpenses,judgments,finesorsettlementamounts,aswellasanyotherrelevantequitableconsiderations.TherelativefaultofMLEontheonehandandofSubrecipientontheotherhandshallbedeterminedbyreferenceto,amongotherthings,theParties'relativeintent,knowledge,accesstoinformationandopportunitytocorrectorpreventthecircumstancesresultinginsuchexpenses,judgments,fines,orsettlementamounts.MLE'scontributionamountinanyinstanceiscappedtothesameextentitwouldhavebeencappedunderWashingtonlawiftheStatehadsoleliabilityintheproceeding.15.3WithrespecttoaThirdPartyClaimforwhichSubrecipientisjointlyliablewithMLE(orwouldbeifjoinedintheThirdPartyClaim),Subrecipientshallcontributetotheamountofexpenses(includingattorneys'fees),judgments,finesandamountspaidinsettlementactuallyandreasonablyincurredandpaidorpayablebyMLEinsuchpropoltionasisappropriatetoreflecttherelativefaultofSubrecipientontheonehandandofMLEontheotherhandinconnectionwiththeeventsthatresultedinsuchexpenses,judgments,finesorsettlementamounts,aswellasanyotherrelevantequitableconsiderations.TherelativefaultofSubrecipientontheonehandandofMLEontheotherhandshallbedeterminedbyreferenceto,amongotherthings,thePalties'relativeintent,knowledge,accesstoinformationandopportunitytocorrectorpreventthecircumstancesresultinginsuchexpenses,judgments,fines,orsettlementamounts.Subrecipient'scontributionamountinanyinstanceiscappedtothesameextentitwouldhavebeencappedunderWashingtonlawifithadsoleliabilityintheproceeding.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page15of35
