SECTION10:REPRESENTATIONSANDWARRANTIESSubrecipientrepresentsandwarrantstoMLEthat:10.1Subrecipientisalawenforcementagency,dulyorganizedandvalidlyexisting.SubrecipienthasthepowerandauthoritytoenterintoandperformthisAgreement.10.2ThemakingandperformancebySubrecipientofthisAgreement(a)havebeendulyauthorizedbySubrecipient,(b)donotandwillnotviolateanyprovisionofanyapplicablelaw,rule,regulation,ororderofanycourt,regulatorycommission,board,orotheradministrativeagencyoranyprovisionofSubrecipient'scharterorotherorganizationaldocumentand(c)donotandwillnotresultinthebreachof,orconstituteadefaultorrequireanyconsentunderanyotheragreementorinstrumenttowhichSubrecipientispartyorbywhichSubrecipientmaybeboundoraffected.Noauthorization,consent,license,approvalof,orfilingorregistrationwithornotificationtoanygovernmentalbodyorregulatoryorsupervisoryauthorityisrequiredfortheexecution,delivery,orperformancebySubrecipientofthisAgreement,otherthanthosethathavealreadybeenobtained.10.3ThisAgreementhasbeendulyexecutedanddeliveredbySubrecipientandconstitutesalegal,valid,andbindingobligationofSubrecipientenforceableinaccordancewithitsterms.10.4Subrecipienthastheskillandknowledgepossessedbywell-informedmembersoftheindustry,tradeorprofessionmostcloselyinvolvedinprovidingtheservicesunderthisAgreement,andSubrecipientwillapplythatskillandknowledgewithcareanddiligencetoperformitsobligationsunderthisAgreementinaprofessionalmannerandinaccordancewiththehigheststandardsprevalentintherelatedindustry,trade,orprofession;and10.5Subrecipientshall,atalltimesduringthetermofthisAgreement,bequalified,professionallycompetent,anddulylicensedtoperformitsobligationsunderthisAgreement.TherepresentationsandwarrantiessetforthinthisSection10-RepresentationandWarrantiesareinadditionto,andnotinlieuof,anyotherrepresentationsorwarrantiesprovidedbySubrecipient.SECTION11:GOVERNINGLAWANDCONSENTTOJURISDICTIONThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateofWashingtonwithoutregardtoprinciplesofconflictsoflaw.Anyclaim,action,suitorproceeding(collectively"Claim")betweenMLEoranyotheragencyordepartmentoftheStateofWashington,orboth,andSubrecipientthatarisesfromorrelatestothisAgreementshallbebroughtandconductedsolelyandexclusivelywithintheSuperiorCourtforThurstonCounty,StateofWashington;provided,however,ifaClaimMUSTbebroughtinafederalforum,thenitshallbebroughtandconductedsolelyandexclusivelywithintheUnitedStatesDistrictCourtfortheWesternDistrictofWashington.InnoeventshallthisSection11--GoverningLawandConsenttoJurisdictionbeconstruedasawaiverbytheStateofWashingtonofanyformofdefenseorimmunity,whethersovereignimmunity,governmentalimmunity,immunitybasedontheeleventhamendmenttotheConstitutionoftheUnitedStatesorothenvise,toorfromanyClaimorfromthejurisdictionofanycourt.SUBREClPIENT,BYEXECUTIONOFTHISAGREEMENT,HEREBYCONSENTSTOTHEINPERSONAMJURISDICTIONOFSAIDCOURTS.MLE123-407SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page11of35
