<br />It is understood and agreed that thls Agreement is solely fortha benefit of the parties to the Agreementand gives no right to any other party. No joint venlure or partnership is foimed as a result of this
<br />Agreement.
<br />To the extenl allowed by law, the subreclpient, its sucoessors or asdgng wifl proted, save and holdharmless lhe Department, the state of Washington, and the Unlted-states bovemment and their
<br />aulhorized agenls and employees, from all claims, actions, costs, damages or elpenses of any nature
<br />whatsoever by reason of the acts or cimisslons of the Subrecipient, ils subcontrictors, subreiipients,
<br />asslgns, aggdst conlractors, consultantq licensees, invitees, employees or any person whomioevei
<br />arising out of or in oonnection with any ads or activities authorized by ttris egreeient.
<br />To the extent allqYed by !aw, the Subrecipientfurther agrees to defend the Department and the state of
<br />Washington and thdr aulhorized agents and employeeain any litigation; inclrding payment of any costs
<br />or attorneys' fegs for any daims or action commenc,ed theredn arising out of or in'connection nrih actor actavities authodzed by this Agreement.
<br />This obllgallon shall not include such daims, costs, damages or expenses which may be caused by the
<br />sole negligence of lhe Department; provided, that if the dalms or dimages are caus6d by or result-fom
<br />the concurrent_negligence of (l)rhe Departnent, and (2) the Subrecipient, its agents, or imployees, this
<br />indemnity provision shall be valid and enforceable onlyio the extent oithe neglig-ene of the duuiecxpiint,
<br />or the Subrecipienfs agents or employees.
<br />lnsofar as the funding source. FEMA is an agency of the Federal govemment, lhe following shall apply:
<br />44 CEB 206.9 Non-liabilitv. Th9 Felgral government shall not be liabte for any ctaim based upon the
<br />exgrci_se or performance of, or the failure to exercis€ or perform a discretionary fundion or dutj on the
<br />qartgf 9 federal agency or an employee of the Federal government in carrying out the provisioris of the
<br />Stafford Act.

<br />LOSS OR REDUCTION OF FUNDING
<br />ln the.event funding from slate, federal, or other sources is withdrawn, reduced, or limited in any way
<br />afier the efiective date oJ tris Agreement and prior to normal completion or end date, the Deparimerit
<br />may unilaterallyreduce the w.ork plan and budget or unilaterally terminae a[ or part of the Agre6ment asa 'Termination fs Cause- wlthout p-roviding the Subrecipienf an opportunity t6 cure. Alteliatively, theparties may renegotiatg the terms of_this Agreement und'er'Amendrirents ana moOitications'to c6mply
<br />with new lunding limitations and conditions, although the Department has rn obligation to do so.
<br />4.16 NONASSIGTI,ABILITY
<br />Neither this Agreement,

<br />nor any claim arising under this Agreement, shall be hansfened or asslgned by
