RECORDSMAINTENANCEThepadiestothisagreementshalleachmaintainbooks,records,documents,andotherevidencethatsufficientlyandproperlyreflectalldirectandindirectcostsexpendedbyeitherpartyintheperformanceoftheservicesdescribedherein.Theserecordsaresubjecttoinspection,review,orauditbypersonnelofbothparties,otherpersonneldulyauthorizedbyeitherparty,theOfficeoftheStateAuditor,andfederalofficialssoauthorizedbylaw.Allbooks,records,documents,andothermaterialrelevanttothisagreementmustberetainedforsixyearsafterexpiration,andtheOfficeoftheStateAuditor,federalauditors,andanypersonsdulyauthorizedbythepadiesmusthavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.Recordsandotherdocuments,inanymedium,furnishedbyonepartytothisagreementtotheotherparty,willremainthepropertyofthefurnishingparty,unlessotherwiseagreed.Eachpartyshallutilizereasonablesecurityproceduresandprotectionstoassurethatrecordsanddocumentsprovidedbytheotherpartyarenoterroneouslydisclosedtothirdparties.INDEPENDENTCAPACITYTheemployeesoragentsofeachpartywhoareengagedintheperformanceofthisagreementwillcontinuetobeemployeesoragentsofthatpartyandwillnotbeconsideredforanypurposetobeemployeesoragentsoftheotherparty.AGREEMENTALTERATIONSANDAMENDMENTSThisagreementmaybeamendedbymutualagreementoftheparties.Suchamendmentsarenotbindingunlesstheyareinwriting.INDEMNIFICATIONEachpartyisresponsiblefortheactionsandinactionsofitselfanditsownofficers,employees,andagentsactingwithinthescopeoftheirauthority.TERMINATIONFORCAUSElfSTATEPARKSdeterminesthatAGENCYisnotincompliancewiththeminimumrequirementsofthisagreement,theStateParksMarineLawEnforcementCoordinatorwillnotifyAGENCYinwritingofthedeficiency.AGENCYwillhaveforty-fivedaysfollowingreceiptofthenoticeofdeficiencytosubmitaplansatisfactorytoSTATEPARKStoremedythedeficiency.If,afterforty-fivedays,AGENCYhasnotsubmittedaplantoSTATEPARKSforremedyingthedeficiencyorisunabletodemonstrateitsabilitytomeetminimumrequirements,STATEPARKSwillhavetheoptiontoterminatethisagreement.IfAGENCYdisagreeswithSTATEPARKS'decisiontocancelthisagreement,AGENCYmayseekahearingperchapter34.05RCW,theAdministrativeProcedureActtocontestthisdecision.Updated10/1/2021Page2of25
