DISPUTESIntheeventthatadisputearisesunderthisagreement,itwillbedeterminedbyaDisputeBoardinthefollowingmanner:EachpartytothisagreementappointsonemembertotheDisputeBoard.ThememberssoappointedjointlyappointanadditionalmembertotheDisputeBoard.TheDisputeBoardreviewsthefacts,contractterms,andapplicablestatutesandrulesandmakeadeterminationofthedispute.ThedeterminationoftheDisputeBoardisfinalandbindingonthepartieshereto.GOVERNANCEThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashingtonandanyapplicablefederallaws.Theprovisionsofthisagreementmustbeconstruedtoconformtothoselaws.IntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatuteorrule,theinconsistencymustberesolvedbygivingpreœdenceinthefollowingorder:a.Applicablestateandfederalstatutesandrules;b.SummaryStatement;andc.Anyotherprovisionsoftheagreement,includingmaterialsincorporatedbyreference.ASSIGNMENTTheworktobeprovidedunderthisagreement,andanyclaimarisingthereunder,isnotassignableordelegablebyeitherpartyinwholeorinpart,withouttheexpresspriorwrittenconsentoftheotherparty,whichconsentmaynotbeunreasonablywithheld.WAIVERAfailurebyeitherpartytoexerciseitsrightsunderthisagreementdoesnotprecludethatpartyfromsubsequentexerciseofsuchrightsanddoesnotconstituteawaiverofanyotherrightsunderthisagreementunlessstatedtobesuch,inwriting,signedbyanauthorizedrepresentativeofthepany,andattachedtotheoriginalagreement.Updated10/1/2021Page3of25
