isMnancedbyyourpurchaseofmotorboatfuelsandMshingequipment."7.1.8PublicAccesstoProject.DuringthetermofthisAgreementtheSubrecipientshallallowopenandunencumberedpublicaccesstotheProjecttoallpersonswithoutregardtorace,color,religiousorpoliticalbeliefs,sex,nationalorigin,orplaceofprimaryresidence.7.1.9Payments.Subrecipientagreesto:a.Makepaymentpromptlyasduetoallcontractors,subcontractors,vendorsoranyotherpersonssupplyinglaborormaterialsfortheProject;b.Allemployers,includingSubrecipientthatemploysubjectworkersshallprovideworkers'compensationinsurancecoverageforthoseworkers,unlesstheymeettherequirementforexemption.Subrecipientshallrequireandensurethateachofitssubcontractorscomplieswiththeserequirements(unlessinapplicableasamatteroffederallaw);andc.NotpermitanylienorclaimtobefiledorprosecutedagainstWSPRC,duetoanyconstructionormaintenanceactivitiesattheProject.7.1.10AlternativeDisputeResolution.ThePartiesshouldattemptingoodfaithtoresolveanydisputearisingoutofthisagreement.Thismaybedoneatanymanagementlevel,includingatalevelhigherthanpersonsdirectlyresponsibleforadministrationoftheagreement.Inaddition,thePartiesmayagreetoutilizeajointlyselectedmediatororarbitrator(fornon-bindingarbitration)toresolvethedisputeshortoflitigation.7.1.11IndemnificationbySubrecipient'sContractors.ForpurposesofthisSection7.1.11--IndemnißcationbySubrecipient'sContractorstheterm"contractor"meansactorsdownstreamoftheSubrecipientwhetheritbeacontractor,asubcontractor,ordownstreamsubrecipientoftheSubrecipient.TheSubrecipientshalltakeallreasonablestepstocauseitscontractor(s)toindemnify,defend,saveandholdharmlesstheStateofWashingtonanditsofficers,employeesandagents("Indemnitee")fromandagainstanyandallclaims,actions,liabilities,damages,losses,orexpenses(includingattorneys'fees)arisingfromatortcaused,orallegedtobecaused,inwholeorinpart,bythenegligentorwillfulactsoromissionsofSubrecipient'scontractororanyoftheofficers,agents,employeesorsubcontractorsofthecontractor("Claims").ItisthespecificintentionofthePartiesthattheIndemniteeshall,inallinstances,exceptforClaimsarisingsolelyfromthenegligentorwillfulactsoromissionsofthe7.2ResponsibilityofMarineLawEnforcementProgram(MLE):7.2.1MLEshallpaySubrecipientasdescribedinSections8-ConditionstoDisbursementandSection9-ReimbursementandPaymentTerms.SECTION8:CONDITIONSTODISBURSEMENT8.1Eligibleprojectexpensesincludeonlythoseitemsfromthelistbelowthatareinyourapprovedprojectbudget:8.1.1GrantfundsmaybeusedonlyforactivitiesunderWAC352-65-040,thetenelementsnecessarytoaccomplishtheRecreationalBoatingSafety(RBS)mission.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page6of64
