SECTION30:INDEPENDENTCONTRACTORSThePartiesagreeandacknowledgethattheirrelationshipisthatofindependentcontractingpartiesandthatSubrecipientisnotanofficer,employee,oragentofthestateofWashington.SECTION31:PERSONSNOTTOBENEFITNomemberofordelegatetoCongress,residentcommissioner,officer,agentoremployeeoftheUnitedStatesofAmerica,memberoftheWashingtonLegislativeAssembly,electedofficialofthestateofWashington,orofficial,agent,oremployeeofthestateofWashington,orelectedmember,officer,agent,oremployeeofanypoliticalsubdivision,municipalityormunicipalcorporationofthestateofWashingtonshallbeadmittedtoanyshareorpadofthisAgreementorderiveanyfinancialbenefitthatmayarisetherefrom.SECTION32:INTENDEDBENEFICIARIESMLEandSubrecipientaretheonlypadiestothisAgreementandaretheonlypartiesentitledtoenforceitsterms.NothinginthisAgreementprovides,isintendedtoprovide,ormaybeconstruedtoprovideanydirectorindirectbenefitorrighttothirdpersonsunlesssuchthirdpersonsareindividuallyidentifiedbynamehereinandexpresslydescribedasintendedbeneficiariesofthisAgreement.SECTION33:FORCEMAJEURENeitherPadyisresponsibleforanyfailuretoperformoranydelayinpedormanceofanyobligationsunderthisAgreementcausedbyfire,civilunrest,laborunrest,naturalcauses,orwar,whichisbeyondthatParty'sreasonablecontrol.EachPartyshall,however,makeallreasonableeffortstoremoveoreliminatesuchcauseoffailuretoperformordelayinperformanceandshall,uponthecessationofthecause,diligentlypursuepedormanceofitsobligationsunderthisAgreement.MLEmayterminatethisAgreementuponwrittennotiœtoSubrecipientafterreasonablydeterminingthatthefailureordelaywilllikelypreventsuccessfulpedormanceofthisAgreement.SECTION34:ASSIGNMENTANDSUCCESSORSININTERESTSubrecipientmaynotassignortransferitsinterestinthisAgreementandanyattemptbySubrecipienttoassignortransferitsinterestinthisAgreementwillbevoidandofnoforceoreffect-TheprovisionsofthisAgreementwillbebindinguponandinuretothebenefitofthePadieshereto,andtheirrespectivesuccessors.AnysubgrantenteredintounderthisAgreementshallcontaintermsandconditionssubstantiallysimilartothisAgreement,includingFederalprovisionscontainedinExhibitAandthesubgrantshall:a.IfthecontractisnottoaunitofWashingtonStategovernment,thecontractshallrequiretheSubrecipienttoindemnify,defend,saveandholdharmlessthestateofWashingtonanditsofficers,employees,andagents("indemnitee")fromandagainstanyandallclaims,actions,liabilities,damages,lossesorexpensesarisingfromatort,causedorallegedtobecaused,inwholeorinpad,bythenegligentorwillfulactsoromissionsofSubrecipient'scontractororanyoftheofficers,agents,employeesorsubcontractorsofthecontractor("claims").ItisthespecificintentionsMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page23of64
