29.2PenaltyofPerjury.ByitsexecutionofthisAgreement,SubrecipientcertifiesunderpenaltyofperjuryunderthelawsofthestateofWashingtonthetruthfulness,completeness,andaccuracyofanystatementorclaimithasmade,itmakes,itmaymake,orcausestobemadethatpertainstothisAgreement.29.3TaxCompliance.Subrecipienthascompliedwiththetaxlawsofthisstateandtheapplicabletaxlawsofanypoliticalsubdivisionofthisstate.Subrecipientshall,throughoutthedurationofthisAgreementandanyextensions,complywithalltaxlawsofthisstateandallapplicabletaxlawsofanypoliticalsubdivisionofthisstate.ForthepurposesofthisSection29.3-TaxCompliance,"taxlaws"includes:(i)Alltaxlawsofthisstate;(ii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,toSubrecipient'sproperty,operations,receipts,orincome,ortoSubrecipient'sperformanceoforcompensationforanyworkperformedbySubrecipient;(iii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,ortogoods,services,orproperty,whethertangibleorintangible,providedbySubrecipient;and(iv)Anyrules,regulations,charterprovisions,orordinancesthatimplementedorenforcedanyoftheforegoingtaxlawsorprovisions.AnyfailuretocomplywiththeprovisionsofthisSection29-CornplianceWVithLawconstitutesamaterialbreachofthisAgreement.AnyfailuretocomplywithSubrecipient'scertificationsshallconstituteamaterialbreachofthisAgreement.AnyfailuretocomplyshallentitleMLEtoterminatethisAgreement,topursueandrecoveranyandalldamagesthatarisefromthebreachandtheterminationofthisAgreement,andtopursueanyoralloftheremediesavailableunderthisAgreement,atlaw,orinequity,includingbutnotlimitedto:29.3.1TerminationofthisAgreement,inwholeorinpart,thisisinadditiontoanyremediesavailableunderSection22-Termination.29.3.2OffsettingagainstanyamountowedtoSubrecipient,andwithholdingofamountsothenvisedueandowingtoSubrecipient,inanamountequaltoState'ssetoffright,withoutpenalty;and29.3.3Initiationofanactionorproceedingfordamages,specificpedormance,declaratoryorinjunctiverelief.MLEmayrecoveranyandalldamagessufferedastheresultofSubrecipient'sbreachofthisAgreement,includingbutnotlimitedtodirect,indirect,incidentalandconsequentialdamages,costsofcure,andcostsincurredinsecuringreplacementServicesandapplications.ThestateofWashingtonmaytakeanyandallactionspermittedbylawrelativetothecollectionoftaxesduetothestateofWashingtonorapoliticalsubdivision,including(i)garnishingtheSubrecipient'scompensationunderthisAgreementor(ii)exercisingarightofsetoffagainstSubrecipient'scompensationunderthisAgreementforanyamountsthatmaybedueandunpaidtothestateofWashington.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successively,orinanyorderwhatsoever.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page22of64
