ofthepartiesthattheIndemniteeshall,inallinstances,exceptforclaimsarisingsolelyfromthenegligentorwillfulactsoromissionsoftheIndemnitee,beindemnifiedbythecontractorfromandagainstanyandallClaims.SECTION35:SUBCONTRACTS&SUB-AWARDSSubrecipientshallnot,withoutMLE'spriorwrittenconsent,enterintoanysubcontractsorfollow-onsub-recipientsub-awards(workcarriedoutbypartiesotherthantheSubrecipient)foranyoftheworkrequiredofSubrecipientunderthisAgreement.Subrecipient'sconsenttoanycontract,subcontract,sub-awardwillnotrelieveSubrecipientofanyofitsdutiesorobligationsunderthisAgreement.SECTION36:TIMEISOFTHEESSENCETimeisoftheessenceinSubrecipient'sperformanceofitsobligationsunderthisAgreement.SECTION37:MERGERANDWAIVERThisAgreementandallExhibitsandAttachments,ifany,constitutetheentireagreementbetweenthePartiesonthesubjectmatterhereof.Therearenounderstandings,agreements,orrepresentations,oralorwritten,notspecifiedhereinregardingthisAgreement.NowaiverorconsentunderthisAgreementbindseitherPartyunlessinwritingandsignedbybothParties.Suchwaiverorconsent,ifmade,iseffectiveonlyinthespecificinstanceandforthespecificpurposegiven.FailurebyMLEtoinsistuponthestrictperformanceofanyprovisionofthisagreementshallnotaffectMLE'srighttorequirestrictperformanceofthesameprovisioninthefutureoranyotherprovision.FailurebyMLEtoexerciseanyrightbaseduponabreach,oracceptancebyMLEofperformanœduringsuchbreach,shallnotconstituteawaiverofanyofitsrightsorremedieswithrespecttosuchbreach.EACHPARTY,BYSIGNATUREOFITSAUTHORIZEDREPRESENTATIVE,HEREBYACKNOWLEDGESTHATITHASREADTHISAGREEMENT,UNDERSTANDSIT,ANDAGREESTOBEBOUNDBYITSTERMSANDCONDITIONS.SECTION38:RECORDSMAINTENANCEANDACCESSSubrecipientshallmaintainallfinancialrecordsrelatingtothisAgreementinaccordancewithgenerallyacceptedaccountingprinciples.Inaddition,Subrecipientshallmaintainanyotherrecords,books,documents,papers,plans,recordsofshipmentsandpaymentsandwritingsofSubrecipient,whetherinpaper,electronicorotherform,thatarepertinenttothisAgreementinsuchamannerastoclearlydocumentSubrecipient'sperformance.Allfinancialrecords,otherrecords,books,documents,papers,plans,recordsofshipmentsandpaymentsandwritingsofSubrecipient,whetherinpaper,electronicorotherform,thatarepertinenttothisAgreement,arecollectivelyreferredtoas"Records."SubrecipientacknowledgesandagreesthatWashingtonStateParksandRecreationCommissionandthefederalgovernmentandtheirdulyauthorizedrepresentativeswillhaveaccesstoallRecordstoperformexaminationsandauditsandmakeexcerptsandtranscripts.SubrecipientshallretainandkeepaccessibleallRecordsforaminimumofsix(6)years,orsuchlongerperiodasmayberequiredbyapplicableMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page24of64
