Thisagreementmaybeamendedonlybymutualagreementofthepartiesinwriting.Formalwrittenamendmentofthecontractisrequiredforchangingthetermsandconditionsspecificallystatedintheoriginalagreementandanyprioramendments,includingbutnotlimitedto:•Budgetrevisions•Scopeofwork•Changeinduedates•Extensionsoftheperiodofperformance•AnyotherrevisionsdeterminedmaterialbyMLESECTION25:NOTICEExceptasotherwiseexpresslyprovidedinthisAgreement,anynoticestobegivenrelatingtothisAgreementmustbegiveninwritingbyemail,personaldelivery,orpostageprepaidmail,toaParty'sAuthorizedRepresentativeatthephysicaladdressortosuchotheraddressesaseitherPartymayindicatepursuanttothisSection24-Amendments.Anynoticesoaddressedandmailedbecomeseffectivefive(5)daysaftermailing.Anynoticegivenbypersonaldeliverybecomeseffectivewhenactuallydelivered.SECTION26:SURVIVALAllrightsandobligationsofthePartiesunderthisAgreementwillceaseuponterminationofthisAgreement,otherthantherightsandobligationsarisingunderSection11-GoverningLawandConsenttoJurisdiction,Section13-OwnershipofWorkProduct,Section20-RecoveryofOverpayments,Section21-LimitationofLiability,andSection26-SuivivalhereofandthoserightsandobligationsthatbytheirexpresstermssurviveterminationofthisAgreement;provided,however,thatterminationofthisAgreementwillnotprejudiœanyrightsorobligationsaccruedtothePadiesunderthisAgreementpriortotermination.SECTION27:SEVERABILITYThePartiesagreethatifanytermorprovisionofthisAgreementisdeclaredbyacourtofcompetentjurisdictiontobeillegalorinconflictwithanylaw,thevalidityoftheremainingtermsandprovisionswillnotbeaffected,andtherightsandobligationsofthePadieswillbeconstruedandenforcedasiftheAgreementdidnotcontaintheparticulartermorprovisionheldtobeinvalid.SECTION28:COUNTERPARTSThisAgreementmaybeexecutedinseveralcounterparts,allofwhichwhentakentogethershallconstituteoneagreement,notwithstandingthatallPartiesarenotsignatoriestothesamecounterpad.EachcopyoftheAgreementsoexecutedconstitutesanoriginal.SECTION29:coMPLIANCEWITHLAW29.1CompliancewithLawGenerally.Subrecipientshallcomplywithallfederal,stateandlocallaws,regulations,executiveordersandordinancesapplicabletoSubrecipientandtheAgreement.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page21of64
