b.IntheeventinsufficientfundsareappropriatedforthepaymentsunderthisAgreementandtheSubrecipienthasnootherlawfullyavailablefunds,thentheSubrecipientmayterminatethisAgreementattheendofitscurrentfederalfiscalyear,withnofurtherliabilitytoMLE.TheSubrecipientshalldeliverwrittennoticetoMLEofsuchterminationnolaterthan30daysfromthedeterminationbytheSubrecipientoftheeventofnon-appropriation.MLEshallpayforallauthorizedProjectcostsexpendeduptothedateofwrittennotiœoftermination.22.4TerminationforDefault.MLE,atanytimeupon30dayspriorwrittennoticeofdefaulttotheSubrecipient,maymodifyorterminatethisAgreementif:a.Thedesignandimplementation,oftheProjectisnotpursuedwithduediligence;orb.TheProjectisnotpermissibleunderfederal,state,orlocallaw;orc.TheSubrecipient,doesnotabidebythenondiscriminationandaffirmativeactionprovisionsofthisAgreement;ord.TheSubrecipient,withoutthepriorwrittenapprovalofMLEusesthefundsprovidedbyMLEhereundertopursueanyprojectotherthantheProjectdescribedinthefinalprojectapprovedbyMLE;ore.DuringthetermofthisAgreement,theSubrecipientfailstopedormanyobligationorrequirementofthisAgreement.f.TheSubrecipientdefaultsunderanyotheragreementbetweentheParties.22.5RightsandRemedies.a.TheSubrecipientshall,within30daysofitsreceiptofanotiœofdefault,reimburseMLEforallfundscontributedbyMLEtotheProject.Further,MLEshallhaveanyandallrightsandremediesavailableatlaworinequity.b.IntheeventthatSubrecipienthasmateriallyfailedtocomplywiththisAgreementandsuchnon-complianœhasresultedintheFederalFundingAgencyterminatingMLE'sgrantorcauseorrequiresMLEtoreturnfundstotheFederalFundingAgency,SubrecipientwillreturntoMLEanamountequaltothefundswhichMLEisnotreimbursedfororisrequiredtoreturntoFederalFundingAgency.SECTION23:NONAPPROPRIATIONMLE'sobligationtopayanyamountsandothelwisepedormitsdutiesunderthisAgreementisconditioneduponMLEreceivingfunding,appropriations,limitations,allotments,orotherexpenditureauthoritysufficienttoallowMLE,intheexerciseofitsreasonableadministrativediscretion,tomeetitsobligationsunderthisAgreement.SECTION24:AMENDMENTSThetermsofthisAgreementmaynotbealtered,modified,supplementedorothenNiSSamended,exceptbywrittenagreementoftheParties.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page20of64
