SECTION20:RECOVERYOFOVERPAYMENTSInadditiontotheremediesprovidedinSection9.7-Overpayment,ifpaymentstoSubrecipientunderthisAgreement,oranyotheragreementbetweenMLEandSubrecipient,exceedtheamounttowhichSubrecipientisentitled,MLEwillnotreimburseanyfurtherclaims.Inaddition,MLEwillrequirerepaymentofanyoverpaymentsasreflectedinSection9.7ofthisagreement.may,afternotifyingSubrecipientinwriting,withholdfrompaymentsdueSubrecipientunderthisAgreement,suchamounts,oversuchperiodsoftimes,asarenecessarytorecovertheamountoftheoverpayment.SECTION21:LIABILITYTHESUBRECIPIENTSHALLBELIABLEFORINCIDENTAL,CONSEQUENTIAL,OROTHERINDIRECTDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,REGARDLESSOFWHETHERTHELIABILITYCLAIMISBASEDINCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,PRODUCTLIABILITYOROTHERWISE.NEITHERPARTYWILLBELIABLEFORANYDAMAGESOFANYSORTARISlNGSOLELYFROMTHETERMINATION,EXPIRATION,ORSUSPENSIONOFTHISAGREEMENTINACCORDANCEWITHITSTERMS.SECTION22:TERMINATION22.1TerminationforConvenience.TheSubrecipientmayterminatethisAgreementatanytimeuponthirty(30)dayspriorwrittennoticetoMLE;provided,however,thattheSubrecipientshall,withinthirty(30)daysofsuchtermination,reimburseMLEforallfundscontributedbyMLEtotheProject;providedfurtherthatuntiltheSubrecipienthasfullyreimbursedMLEforsuchfunds,theSubrecipientshallcomplywiththetermshereof.Delinquentpaymentsshallbearinterestattherateof12percent(12%)perannum,ifsuchrateshallexceedthemaximumrateallowedbylaw,thenassuchmaximumrate,andshallbepayableondemand.Afterninety(90)daysMLEmayturnanydelinquentdebtoverforcollection.22.2TerminationBecauseofInefficiency.Useoffederalfundsdemandsgoodstewardship.MLEinanongoingbasiswillbemonitoringtheperformanceofthesubrecipientthroughthesubrecipient'srepodingintotheMLEStatementofActivityRepodingsystem.IfinMLE'sopinion,thesemetricsdemonstratepoorstewardshiptheAgreementwillbeterminated.Iffeasible,MLEmayworkwiththeSubrecipientandgivetheSubrecipientanoppodunitytoimprovethemetricstowhatMLEbelievesisahealthymetric.22.3TerminationBecauseofNon-AppropriationorProjectIneligibility.MLE,asprovidedinSection33-ForceMajeure,maymodifyorterminatethisAgreementandatanytimeupon30dayspriorwrittennoticetotheSubrecipient,maymodifyorterminatethisAgreementif:a.MLEfailstoreceivefundingorallotments,appropriations,limitations,orotherexpenditureauthorityatlevelssufficienttopayfortheallowablecostsoftheProjecttobefundedhereunderorshouldanystatelaw,regulationorguidelinebemodified,changedorinterpretedinsuchawaythattheProject,oranyportionoftheProject,isnolongereligibleforfacilitygrantfunds.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page19of64
