responsibleforpaymentofindustrialpremiumsorforanyotherclaimorbenefitforSubrecipient,oranysubcontractororemployeeofSubrecipient,whichmightariseundertheindustrialinsurancelawsduringtheperformanceofdutiesandservicesunderthisagreement.Subrecipient,itsemployeesandagentsperformingunderthiscontract,arenotemployeesofCommission.18.4CERTIFICATEOFINSURANCE/NAMINGWASHINGTONSTATEASADDITIONALINSURED:AcurrentCertificateofInsurancemustbesubmittedwiththegrantapplicationform.ThecedificatemustnameWashingtonStateParksandRecreationCommissionasanadditionalinsured,andtheCertificateHolderandcontainaprovisionthattheinsurancewillnotbecanceledforanyreasonexceptafterthidy(30)dayswrittennotiœ.FacilitiesmustbeinsuredbycarrierslicensedinoreligibletodobusinessinWashington,andmustmaintainapplicableCommercialGeneralLiability,AutomobileLiability,andWorker'sCompensationcoverage.GovernmententitieswillneedtoincludealetterfromtheirChiefFinancialOfficerstatingiftheyareself-insuredorprovideacertificateofinsuranceasstatedbelow."SECTION19:REMEDIES19.1IntheeventSubrecipientisindefaultunderSection16-SubrecipientDefaultMLEmay,atitsoption,pursueanyoralloftheremediesavailabletoitunderthisAgreementandatlaworinequity,including,butnotlimitedto:(a)terminationofthisAgreementunderSection22-Termination,(b)reducingorwithholdingpaymentforworkorWorkProductthatSubrecipienthasfailedtodeliverwithinanyscheduledcompletiondatesorhasperformedinadequatelyordefectively,(c)requiringSubrecipienttoperform,atSubrecipient'sexpense,additionalworknecessarytosatisfyitsperformanceobligationsormeetperformancestandardsunderthisAgreement,(d)initiationofanactionorproceedingfordamages,specificperfomiance,ordeclaratoryorinjunctiverelief,or(e)exerciseofitsrightofrecoveryofoverpaymentsunderSection20-RecoveryofOverpayments(whichisinadditiontotheremediesprovidedinSection91-Overpayment),ofthisAgreementorsetoff,orboth.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successivelyorinanyorderwhatsoever.19.2IntheeventMLEterminatesthisAgreementunderSection22.1-TerminationforConvenience,Section22.2TerminationforInefficiency,Section22.3-TerminationBecauseofNon-AppropriationorProjectlneligibility,orSection22.4-TerminationforDefault,Subrecipient'ssolemonetaryremedywillbe(a)forworkcompensableatastatedrate,aclaimforunpaidinvoiæsforworkcompletedandacceptedbyMLE,forworkcompletedandacceptedbyMLEwithinanylimitssetforthinthisAgreementbutnotyetinvoiced,forauthorizedexpensesincurred,lessanyclaimsMLEhasagainstSubrecipient,and(b)fordeliverable-basedwork,aclaimforthesumdesignatedforcompletingthedeliverablemultipliedbytheperœntageofworkcompletedonthedeliverableandacceptedbyMLE,forauthorizedexpensesincurred,lesspreviousamountspaidforthedeliverableandanyclaimsthatMLEhasagainstSubrecipient.InnoeventwillMLEbeliabletoSubrecipientforanyexpensesrelatedtoterminationofthisAgreementorforanticipatedprofits.IfpreviousamountspaidtoSubrecipientexceedtheamountduetoSubrecipientunderthisSection19.2,SubrecipientshallpromptlypayanyexcesstoMLE.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page18of64
