bankruptcy,insolvency,reorganization,winding-up,orcompositionoradjustmentofdebts,andsuchproceedingorcasecontinuesundismissed,oranorder,judgment,ordecreeapprovingororderinganyoftheforegoingisenteredandcontinuesunstayedandineffectforaperiodofsixtyconsecutivedays,oranorderforreliefagainstSubrecipientisenteredinaninvoluntarycaseundertheFederalBankruptcyCode(asnoworhereafterineffect).SECTION17:INDEMNIFICATIONSubrecipientshallholdharmless,saveharmless,indemnify,anddefendattheSubrecipient'sexpensetheStateofWashington,Commission,itofficers,employees,successorsandassignsagainstanyandalldamagesand/orlossesarisingoutofSubrecipient'suseof,orpresenceoractivityin,thefacilities,includingthosearisingoutoftheuseoroperationofequipmentorfacilitiesorasaresultoftheconductofSubrecipient'sprograms,orfromtheconductofSubrecipient'semployeesoragents,ordamagesorvandalismtofacilitiesbythird-parties,contractedorparticipatinginSubrecipient'sprograms,eventsoractivities.SECTION18:LIABILITYINSURANCE18.1LIABILITYINSURANCE-IfrequiredinthespecialtermsandconditionssubrecipientshallobtainandkeepinforceduringthetermofthisAgreement,acombinedsinglelimitbodilyinjuryandpropertydamageinsurancepolicyintheminimumamountof$1,000,000namingWashingtonStateParksCommissionasanadditionalinsuredagainstanyliabilityarisingoutofSubrecipient'soritsagents,employees,orassigns.SubrecipientshallprovidetoCommission,acertificateevidencingsuchinsurancecoverageandshallprovide30dayswrittennoticepriortoanychangesintheamountorcancellationofsaidpolicy.•Subrecipientshallbuyandmaintainpropertyinsurancecoveringallrealpropertyandfixtures,equipment,andtenantimprovementsandbetterments.Suchinsuranceshallbewrittenonanall-risksbasisand,ataminimum,covertheperilsinsuredunderISOspecialcausesoflossFormCP1030,andcoverthefullreplacementcostofthepropertyinsured.Suchinsurancemayhavecommerciallyreasonabledeductibles.•Anycoinsurancerequirementinthepolicyshallbewaived.•Stateshallbeincludedasaninsuredandalosspayeeunderthepropedyinsurancepolicy.18.2AUTOMOBILEINSURANCE--Subrecipientshallmaintainbusinessautoliabilityand,ifnecessary,commercialumbrellaliabilityinsurancewithalimitnotlessthan$1,000,000peraccident.Suchinsuranceshallcoverliabilityarisingoutof"AnyAuto."BusinessautocoverageshallbewrittenonISOformCA0001,orsubstituteliabilityformprovidingequivalentcoverage.Ifnecessary,thepolicyshallbeendorsedtoprovidecontractualliabilitycoverage.SubrecipientwaivesallrightsagainstStatefortherecoveryofdamagestotheextenttheyarecoveredbybusinessautoliabilityorcommercialumbrellaliabilityinsurance.18.3INDUSTRIALINSURANCECOVERAGE--SubrecipientshallprovideorpurchaseindustrialinsurancecoverageforthemselvestheiremployeesasrequiredbyLaborandIndustriespriortopedormingworkunderthisAgreement.CommissionwillnotbeMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page17of64
