StateofWashingtonDepartmentofEcologyPage21of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTE27.SUSTAINABLEPRACTICESInordertosustainWashington'snaturalresourcesandecosystems,theRECIPIENTisfullyencouragedtoimplementsustainablepracticesandtopurchaseenvironmentallypreferableproductsunderthisAgreement.a)Sustainablepracticesmayincludesuchactivitiesas:useofcleanenergy,useofdouble-sidedprinting,hostinglowimpactmeetings,andsettinguprecyclingandcompostingprograms.b)Purchasingmayincludesuchitemsas:sustainablyproducedproductsandservices,EPEATregisteredcomputersandimagingequipment,independentlycertifiedgreencleaningproducts,remanufacturedtonercartridges,productswithreducedpackaging,officeproductsthatarerefillable,rechargeable,andrecyclable,100%post-consumerrecycledpaper,andtoxicfreeproducts.FormoresuggestionsvisitECOLOGY'swebpage,GreenPurchasing,https://ecology.wa.gov/Regulations-Permits/Guidance-technical-assistance/Sustainable-purchasing.28.TERMINATIONa)ForCauseECOLOGYmayterminateforcausethisAgreementwithaseven(7)calendardayspriorwrittennotificationtotheRECIPIENT,atthesolediscretionofECOLOGY,forfailingtoperformanAgreementrequirementorforamaterialbreachofanytermorcondition.IfthisAgreementissoterminated,thepartiesshallbeliableonlyforperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination.FailuretoCommenceWork.ECOLOGYreservestherighttoterminatethisAgreementifRECIPIENTfailstocommenceworkontheprojectfundedwithinfour(4)monthsaftertheeffectivedateofthisAgreement,orbyanydatemutuallyagreeduponinwritingforcommencementofwork,orthetimeperioddefinedwithintheScopeofWork.Non-Performance.TheobligationofECOLOGYtotheRECIPIENTiscontingentuponsatisfactoryperformancebytheRECIPIENTofallofitsobligationsunderthisAgreement.IntheeventtheRECIPIENTunjustifiablyfails,intheopinionofECOLOGY,toperformanyobligationrequiredofitbythisAgreement,ECOLOGYmayrefusetopayanyfurtherfunds,terminateinwholeorinpartthisAgreement,andexerciseanyotherrightsunderthisAgreement.Despitetheabove,theRECIPIENTshallnotberelievedofanyliabilitytoECOLOGYfordamagessustainedbyECOLOGYandtheStateofWashingtonbecauseofanybreachofthisAgreementbytheRECIPIENT.ECOLOGYmaywithholdpaymentsforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesdueECOLOGYfromtheRECIPIENTisdetermined.b)ForConvenienceECOLOGYmayterminateforconveniencethisAgreement,inwholeorinpart,foranyreasonwhenitisthebestinterestofECOLOGY,withathirty(30)calendardayspriorwrittennotificationtotheRECIPIENT,exceptasnotedbelow.IfthisAgreementissoterminated,thepartiesshallbeliableonlyforperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination.Non-AllocationofFunds.ECOLOGY'sabilitytomakepaymentsiscontingentonavailabilityoffunding.Intheeventfundingfromstate,federalorothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateandpriortothecompletionorexpirationdateofthisAgreement,ECOLOGY,atitssolediscretion,mayelecttoterminatetheAgreement,inwholeorpart,orrenegotiatetheAgreement,subjecttonewfundinglimitationsorconditions.ECOLOGYmayalsoelecttosuspendperformanceoftheAgreementuntilECOLOGYdeterminesthefundinginsufficiencyisresolved.ECOLOGYmayexerciseanyoftheseoptionswithnonotificationorrestrictions,althoughECOLOGYwillmakeareasonableattempttoprovidenotice.Intheeventofterminationorsuspension,ECOLOGYwillreimburseeligiblecostsincurredbytheRECIPIENTthroughtheeffectivedateofterminationorsuspension.ReimbursedcostsmustbeagreedtobyECOLOGYandtheRECIPIENT.InnoTemplateVersion12/10/2020
