StateofWashingtonDepartmentofEcologyPage22of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEeventshallECOLOGY'sreimbursementexceedECOLOGY'stotalresponsibilityundertheAgreementandanyamendments.IfpaymentshavebeendiscontinuedbyECOLOGYduetounavailablefunds,theRECIPIENTshallnotbeobligatedtorepaymonieswhichhadbeenpaidtotheRECIPIENTpriortosuchtermination.RECIPIENT'sobligationtocontinueorcompletetheworkdescribedinthisAgreementshallbecontingentuponavailabilityoffundsbytheRECIPIENT'sgoverningbody.c)ByMutualAgreementECOLOGYandtheRECIPIENTmayterminatethisAgreement,inwholeorinpart,atanytime,bymutualwrittenagreement.d)InEventofTerminationAllfinishedorunfinisheddocuments,datastudies,surveys,drawings,maps,models,photographs,reportsorothermaterialspreparedbytheRECIPIENTunderthisAgreement,attheoptionofECOLOGY,willbecomepropertyofECOLOGYandtheRECIPIENTshallbeentitledtoreceivejustandequitablecompensationforanysatisfactoryworkcompletedonsuchdocumentsandothermaterials.NothingcontainedhereinshallprecludeECOLOGYfromdemandingrepaymentofallfundspaidtotheRECIPIENTinaccordancewithRecoveryofFunds,identifiedherein.29.THIRDPARTYBENEFICIARYRECIPIENTshallensurethatinallsubcontractsenteredintobytheRECIPIENTpursuanttothisAgreement,thestateofWashingtonisnamedasanexpressthirdpartybeneficiaryofsuchsubcontractswithfullrightsassuch.30.WAIVERWaiverofadefaultorbreachofanyprovisionofthisAgreementisnotawaiverofanysubsequentdefaultorbreach,andwillnotbeconstruedasamodificationofthetermsofthisAgreementunlessstatedassuchinwritingbytheauthorizedrepresentativeofECOLOGY.EndofGeneralTermsandConditionsTemplateVersion12/10/2020
