StateofWashingtonDepartmentofEcologyPage20of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTE22.RECORDS,AUDITS,ANDINSPECTIONSRECIPIENTshallmaintaincompleteprogramandfinancialrecordsrelatingtothisAgreement,includinganyengineeringdocumentationandfieldinspectionreportsofallconstructionworkaccomplished.Allrecordsshall:a)Bekeptinamannerwhichprovidesanaudittrailforallexpenditures.b)Bekeptinacommonfiletofacilitateauditsandinspections.c)ClearlyindicatetotalreceiptsandexpendituresrelatedtothisAgreement.d)BeopenforauditorinspectionbyECOLOGY,orbyanydulyauthorizedauditrepresentativeoftheStateofWashington,foraperiodofatleastthree(3)yearsafterthefinalgrantpaymentorloanrepayment,oranydisputeresolutionhereunder.RECIPIENTshallprovideclarificationandmakenecessaryadjustmentsifanyauditsorinspectionsidentifydiscrepanciesintherecords.ECOLOGYreservestherighttoaudit,orhaveadesignatedthirdpartyaudit,applicablerecordstoensurethatthestatehasbeenproperlyinvoiced.Anyremediesandpenaltiesallowedbylawtorecovermoniesdeterminedowedwillbeenforced.Repetitiveinstancesofincorrectinvoicingorinadequaterecordsmaybeconsideredcausefortermination.AllworkperformedunderthisAgreementandanypropertyandequipmentpurchasedshallbemadeavailabletoECOLOGYandtoanyauthorizedstate,federalorlocalrepresentativeforinspectionatanytimeduringthecourseofthisAgreementandforatleastthree(3)yearsfollowinggrantorloanterminationordisputeresolutionhereunder.RECIPIENTshallproviderightofaccesstoECOLOGY,oranyotherauthorizedrepresentative,atallreasonabletimes,inordertomonitorandevaluateperformance,compliance,andanyotherconditionsunderthisAgreement.23.RECOVERYOFFUNDSTherightoftheRECIPIENTtoretainmoniesreceivedasreimbursementpaymentsiscontingentuponsatisfactoryperformanceofthisAgreementandcompletionoftheworkdescribedintheScopeofWork.AllpaymentstotheRECIPIENTaresubjecttoapprovalandauditbyECOLOGY,andanyunauthorizedexpenditure(s)orunallowablecostchargedtothisAgreementshallberefundedtoECOLOGYbytheRECIPIENT.RECIPIENTshallrefundtoECOLOGYthefullamountofanyerroneouspaymentoroverpaymentunderthisAgreement.RECIPIENTshallrefundbycheckpayabletoECOLOGYtheamountofanysuchreductionofpaymentsorrepaymentswithinthirty(30)daysofawrittennotice.Interestwillaccrueattherateoftwelvepercent(12%)peryearfromthetimeECOLOGYdemandsrepaymentoffunds.AnypropertyacquiredunderthisAgreement,attheoptionofECOLOGY,maybecomeECOLOGY'spropertyandtheRECIPIENT'sliabilitytorepaymonieswillbereducedbyanamountreflectingthefairvalueofsuchproperty.24.SEVERABILITYIfanyprovisionofthisAgreementoranyprovisionofanydocumentincorporatedbyreferenceshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.25.STATEENVIRONMENTALPOLICYACT(SEPA)RECIPIENTmustdemonstratetoECOLOGY'ssatisfactionthatcompliancewiththerequirementsoftheStateEnvironmentalPolicyAct(Chapter43.21CRCWandChapter197-11WAC)havebeenorwillbemet.Anyreimbursementsaresubjecttothisprovision.26.SUSPENSIONWheninthebestinterestofECOLOGY,ECOLOGYmayatanytime,andwithoutcause,suspendthisAgreementoranyportionthereofforatemporaryperiodbywrittennoticefromECOLOGYtotheRECIPIENT.RECIPIENTshallresumeperformanceonthenextbusinessdayfollowingthesuspensionperiodunlessanotherdayisspecifiedbyECOLOGY.TemplateVersion12/10/2020
