StateofWashingtonDepartmentofEcologyPage19of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEa)RECIPIENTmustsatisfactorilydemonstratethetimelyuseoffundsbysubmittingpaymentrequestsandprogressreportstoECOLOGY.ECOLOGYreservestherighttoamendorterminatethisAgreementiftheRECIPIENTdoesnotdocumenttimelyuseoffunds.b)RECIPIENTmustsubmitaprogressreportwitheachpaymentrequest.Paymentrequestswillnotbeprocessedwithoutaprogressreport.ECOLOGYwilldefinetheelementsandfrequencyofprogressreports.c)RECIPIENTshalluseECOLOGY'sprovidedprogressreportformat.d)QuarterlyprogressreportswillcovertheperiodsfromJanuary1throughMarch31,April1throughJune30,July1throughSeptember30,andOctober1throughDecember31.Reportsshallbesubmittedwithinthirty(30)daysaftertheendofthequarterbeingreported.e)RECIPIENTmustsubmitwithinthirty(30)daysoftheexpirationdateoftheproject,unlessanextensionhasbeenapprovedbyECOLOGY,allfinancial,performance,andotherreportsrequiredbytheAgreementandfundingprogramguidelines.RECIPIENTshallusetheECOLOGYprovidedcloseoutreportformat.21.PROPERTYRIGHTSa)CopyrightsandPatents.WhentheRECIPIENTcreatesanycopyrightablematerialsorinventsanypatentablepropertyunderthisAgreement,theRECIPIENTmaycopyrightorpatentthesamebutECOLOGYretainsaroyaltyfree,nonexclusive,andirrevocablelicensetoreproduce,publish,recover,orotherwiseusethematerial(s)orproperty,andtoauthorizeotherstousethesameforfederal,state,orlocalgovernmentpurposes.b)Publications.WhentheRECIPIENTorpersonsemployedbytheRECIPIENTuseorpublishECOLOGYinformation;presentpapers,lectures,orseminarsinvolvinginformationsuppliedbyECOLOGY;oruselogos,reports,maps,orotherdatainprintedreports,signs,brochures,pamphlets,etc.,appropriatecreditshallbegiventoECOLOGY.c)PresentationandPromotionalMaterials.ECOLOGYshallhavetherighttouseorreproduceanyprintedorgraphicmaterialsproducedinfulfillmentofthisAgreement,inanymannerECOLOGYdeemsappropriate.ECOLOGYshallacknowledgetheRECIPIENTasthesolecopyrightownerineveryuseorreproductionofthematerials.d)TangiblePropertyRights.ECOLOGY'scurrenteditionof"AdministrativeRequirementsforRecipientsofEcologyGrantsandLoans,"shallcontroltheuseanddispositionofallrealandpersonalpropertypurchasedwhollyorinpartwithfundsfurnishedbyECOLOGYintheabsenceofstateandfederalstatutes,regulations,orpoliciestothecontrary,oruponspecificinstructionswithrespecttheretointhisAgreement.e)PersonalPropertyFurnishedbyECOLOGY.WhenECOLOGYprovidespersonalpropertydirectlytotheRECIPIENTforuseinperformanceoftheproject,itshallbereturnedtoECOLOGYpriortofinalpaymentbyECOLOGY.Ifsaidpropertyislost,stolen,ordamagedwhileintheRECIPIENT'spossession,thenECOLOGYshallbereimbursedincashorbysetoffbytheRECIPIENTforthefairmarketvalueofsuchproperty.f)AcquisitionProjects.ThefollowingprovisionsshallapplyiftheprojectcoveredbythisAgreementincludesfundsfortheacquisitionoflandorfacilities:1.RECIPIENTshallestablishthatthecostisfairvalueandreasonablepriortodisbursementoffundsprovidedforinthisAgreement.2.RECIPIENTshallprovidesatisfactoryevidenceoftitleorabilitytoacquiretitleforeachparcelpriortodisbursementoffundsprovidedbythisAgreement.Suchevidencemayincludetitleinsurancepolicies,Torrenscertificates,orabstracts,andattorney'sopinionsestablishingthatthelandisfreefromanyimpediment,lien,orclaimwhichwouldimpairtheusesintendedbythisAgreement.g)Conversions.RegardlessoftheAgreementexpirationdate,theRECIPIENTshallnotatanytimeconvertanyequipment,property,orfacilityacquiredordevelopedunderthisAgreementtousesotherthanthoseforwhichassistancewasoriginallyapprovedwithoutpriorwrittenapprovalofECOLOGY.SuchapprovalmaybeconditioneduponpaymenttoECOLOGYofthatportionoftheproceedsofthesale,lease,orotherconversionorencumbrancewhichmoniesgrantedpursuanttothisAgreementbeartothetotalacquisition,purchase,orconstructioncostsofsuchproperty.TemplateVersion12/10/2020
