StateofWashingtonDepartmentofEcologyPage17of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEThedecisionofECOLOGYfromanappealwillbefinalandconclusive,unlesswithinthirty(30)daysfromthedateofsuchdecision,theRECIPIENTfurnishestotheDirectorofECOLOGYawrittenappeal.ThedecisionoftheDirectorordulyauthorizedrepresentativewillbefinalandconclusive.Thepartiesagreethatthisdisputeprocesswillprecedeanyactioninajudicialorquasi-judicialtribunal.AppealsoftheDirector'sdecisionwillbebroughtintheSuperiorCourtofThurstonCounty.ReviewoftheDirector'sdecisionwillnotbetakentoEnvironmentalandLandUseHearingsOffice.Pendingfinaldecisionofadispute,theRECIPIENTagreestoproceeddiligentlywiththeperformanceofthisAgreementandinaccordancewiththedecisionrendered.NothinginthisAgreementwillbeconstruedtolimittheparties'choiceofanothermutuallyacceptablemethod,inadditiontothedisputeresolutionprocedureoutlinedabove.12.ENVIRONMENTALDATASTANDARDSa)RECIPIENTshallprepareaQualityAssuranceProjectPlan(QAPP)foraprojectthatcollectsorusesenvironmentalmeasurementdata.RECIPIENTSunsureaboutwhetheraQAPPisrequiredfortheirprojectshallcontacttheECOLOGYProgramissuingthegrantorloan.IfaQAPPisrequired,theRECIPIENTshall:•UseECOLOGY'sQAPPTemplate/ChecklistprovidedbytheECOLOGY,unlessECOLOGYQualityAssurance(QA)officerortheProgramQAcoordinatorinstructsotherwise.•FollowECOLOGY'sGuidelinesforPreparingQualityAssuranceProjectPlansforEnvironmentalStudies,July2004(EcologyPublicationNo.04-03-030).•SubmittheQAPPtoECOLOGYforreviewandapprovalbeforethestartofthework.b)RECIPIENTshallsubmitenvironmentaldatathatwascollectedonaprojecttoECOLOGYusingtheEnvironmentalInformationManagementsystem(EIM),unlesstheECOLOGYPrograminstructsotherwise.TheRECIPIENTmustconfirmwithECOLOGYthatcompleteandcorrectdatawassuccessfullyloadedintoEIM,findinstructionsat:http://www.ecy.wa.gov/eim.c)RECIPIENTshallfollowECOLOGY'sdatastandardswhenGeographicInformationSystem(GIS)dataiscollectedandprocessed.GuidelinesforCreatingandAccessingGISDataareavailableat:https://ecology.wa.gov/Research-Data/Data-resources/Geographic-Information-Systems-GIS/Standards.RECIPIENT,whenrequestedbyECOLOGY,shallprovidecopiestoECOLOGYofallfinalGISdatalayers,imagery,relatedtables,rawdatacollectionfiles,mapproducts,andallmetadataandprojectdocumentation.13.GOVERNINGLAWThisAgreementwillbegovernedbythelawsoftheStateofWashington,andthevenueofanyactionbroughthereunderwillbeintheSuperiorCourtofThurstonCounty.14.INDEMNIFICATIONECOLOGYwillinnowaybeheldresponsibleforpaymentofsalaries,consultant'sfees,andothercostsrelatedtotheprojectdescribedherein,exceptasprovidedintheScopeofWork.TotheextentthattheConstitutionandlawsoftheStateofWashingtonpermit,eachpartywillindemnifyandholdtheotherharmlessfromandagainstanyliabilityforanyorallinjuriestopersonsorpropertyarisingfromthenegligentactoromissionofthatpartyorthatparty'sagentsoremployeesarisingoutofthisAgreement.15.INDEPENDENTSTATUSTheemployees,volunteers,oragentsofeachpartywhoareengagedintheperformanceofthisAgreementwillcontinuetobeemployees,volunteers,oragentsofthatpartyandwillnotforanypurposebeemployees,volunteers,oragentsoftheotherparty.TemplateVersion12/10/2020
