StateofWashingtonDepartmentofEcologyPage16of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEj)RECIPIENTmustsubmitwithinthirty(30)daysaftertheexpirationdateofthisAgreement,allfinancial,performance,andotherreportsrequiredbythisAgreement.Failuretocomplymayresultindelayedreimbursement.8.COMPLIANCEWITHALLLAWSRECIPIENTagreestocomplyfullywithallapplicablefederal,stateandlocallaws,orders,regulations,andpermitsrelatedtothisAgreement,includingbutnotlimitedto:a)RECIPIENTagreestocomplywithallapplicablelaws,regulations,andpoliciesoftheUnitedStatesandtheStateofWashingtonwhichaffectwagesandjobsafety.b)RECIPIENTagreestobeboundbyallapplicablefederalandstatelaws,regulations,andpoliciesagainstdiscrimination.c)RECIPIENTcertifiesfullcompliancewithallapplicablestateindustrialinsurancerequirements.d)RECIPIENTagreestosecureandprovideassurancetoECOLOGYthatallthenecessaryapprovalsandpennitsrequiredbyauthoritieshavingjurisdictionovertheprojectareobtained.RECIPIENTmustincludetimeintheirprojecttimelineforthepermitandapprovalprocesses.ECOLOGYshallhavetherighttoimmediatelyterminateforcausethisAgreementasprovidedhereiniftheRECIPIENTfailstocomplywithaboverequirements.IfanyprovisionofthisAgreementviolatesanystatuteorruleoflawofthestateofWashington,itisconsideredmodifiedtoconformtothatstatuteorruleoflaw.9.CONFLICTOFINTERESTRECIPIENTandECOLOGYagreethatanyofficer,member,agent,oremployee,whoexercisesanyfunctionorresponsibilityinthereview,approval,orcarryingoutofthisAgreement,shallnothaveanypersonalorfinancialinterest,directorindirect,noraffecttheinterestofanycorporation,partnership,orassociationinwhichhe/sheisapart,inthisAgreementortheproceedsthereof.10.CONTRACTINGFORGOODSANDSERVICESRECIPIENTmaycontracttobuygoodsorservicesrelatedtoitsperformanceunderthisAgreement.RECIPIENTshallawardallcontractsforconstruction,purchaseofgoods,equipment,services,andprofessionalarchitecturalandengineeringservicesthroughacompetitiveprocess,ifrequiredbyStatelaw.RECIPIENTisrequiredtofollowprocurementproceduresthatensurelegal,fair,andopencompetition.RECIPIENTmusthaveastandardprocurementprocessorfollowcurrentstateprocurementprocedures.RECIPIENTmayberequiredtoprovidewrittencertificationthattheyhavefollowedtheirstandardprocurementproceduresandapplicablestatelawinawardingcontractsunderthisAgreement.ECOLOGYreservestherighttoinspectandrequestcopiesofallprocurementdocumentation,andreviewprocurementpracticesrelatedtothisAgreement.AnycostsincurredasaresultofprocurementpracticesnotincompliancewithstateprocurementlawortheRECIPIENT'snormalproceduresmaybedisallowedatECOLOGY'ssolediscretion.11.DISPUTESWhenthereisadisputewithregardtotheextentandcharacterofthework,oranyothermatterrelatedtothisAgreementthedeterminationofECOLOGYwillgovern,althoughtheRECIPIENTshallhavetherighttoappealdecisionsasprovidedforbelow:a)RECIPIENTnotifiesthefundingprogramofanappealrequest.b)Appealrequestmustbeinwritingandstatethedisputedissue(s).c)RECIPIENThastheopportunitytobeheardandofferevidenceinsupportofitsappeal.d)ECOLOGYreviewstheRECIPIENT'sappeal.e)ECOLOGYsendsawrittenanswerwithinten(10)businessdays,unlessmoretimeisneeded,afterconcludingthereview.TemplateVersion12/10/2020
