AmountowedtoEnterpriseServices=Totalcontractsalesinvoiced(notincludingsalestax)x.0150.(b)TheVMFmustberolledintoContractor'scurrentpricing.TheVMFmustnotbeshownasaseparatelineitemonanyinvoiceunlessspecificallyrequestedandapprovedbyEnterpriseServices.(c)EnterpriseServiceswillinvoiceContractorquarterlybasedoncontractsalesreportedbyContractor.ContractorshallnotremitpaymentuntilitreceivesaninvoicefromEnterpriseServices.Contractor'sVMFpaymenttoEnterpriseServicesmustreferencethefollowing:•ThisWashingtonMasterContractNumber:06619•TheNASPOMasterAgreementNumber:140603•TheyearandquarterforwhichtheVMFisbeingremitted,and•Contractor'snameassetforthinthisContract,ifnotalreadyincludedonthefaceofthecheck.(d)Contractor'sfailureaccuratelyandtimelytoreporttotalnetsales,tosubmitusagereports,orremitpaymentoftheVMFtoEnterpriseServices,maybecauseforsuspensionorterminationofthisParticipatingAddendumortheexerciseofanyotherremediesasprovidedbylaw.(e)EnterpriseServicesreservestheright,uponthirty(30)daysadvancewrittennotice,toincrease,reduce,oreliminatetheVMFforsubsequentpurchases.(f)ForpurposesoftheVMF,thepartiesagreethattheinitialmanagementfeeisincludedinthepricing.Therefore,anyincreaseorreductionofthemanagementfeemustbereflectedincontractpricingcommensuratewiththeadjustment.3.5.CONTRACTORREPRESENTATIONSANDWARRANTIEs:ContractormakeseachofthefollowingrepresentationsandwarrantiesasoftheeffectivedateofthisParticipatingAddendumandatthetimeanyorderisplacedpursuanttotheMasterContract.If,atthetimeofanysuchorder,contractorcannotmakesuchrepresentationsandwarranties,Contractorshallnotprocessanyordersandshall,withinthree(3)businessdaysnotifyEnterpriseServices,inwriting,ofsuchbreach.(a)WAGEVIOLATIONS.Contractorrepresentsandwarrantsthat,duringthetermofthisMasterContractandthethree(3)yearperiodimmediatelyprecedingtheawardoftheMastercontract,itisnotdetermined,byafinalandbindingcitationandnoticeofassessmentissuedbytheWashingtonDepartmentofLaborandIndustriesorthroughaciviljudgmententeredbyacourtoflimitedorgeneraljurisdiction,tobeinwillfulviolationofanyprovisionofWashingtonstatewagelawssetforthinRCWchapters49.46,49.48,or49.52.(b)PAYEQUALITY.Contractorrepresentsandwarrantsthat,amongitsworkers,similarlyemployedindividualsarecompensatedasequals.Forpurposesofthisprovision,employeesaresimilarlyemployediftheindividualsworkforthesameemployer,theperformanceofthejobrequirescomparableskill,effort,andresponsibility,andthejobsareperformedundersimilarworkingconditions.Jobtitlesalonearenotdeterminativeofwhetheremployeesaresimilarlyemployed.Contractormayallowdifferentialsincompensationforitsworkersbasedingoodfaithonanyofthefollowing:asenioritysystem;ameritsystem;asystemthatmeasuresearningsbyPARTiclPATINGADDENDUM-No.06619:COPIERS&MANAGEDPRINTSERVICESPage4(Rev.2019-12-01)USA-SEC-2020-SllCA-107350
