May2020version11Confidentiality.FacilityagreestokeepallinformationabouttheCardProgram,theCardsandtheCardholdersaccessed,obtainedorcollectedinconnectionwiththeCardProgram(the"Information")confidentialatalltimesexceptasrequiredbylaw.Inaddition,FacilitymaynotuseordisclosetheInformationexcepttoconducttheCardProgramandtodisclosetheInformationtothoseofitsdirectors,officers,agents,andemployeeswhohaveareasonableneedtoknowitinordertoconducttheCardProgram.PriortodisclosingthisInformation,however,FacilitywillinformthepersontoreceivetheInformationofitsconfidentialnatureandtheobligationsofnondisclosureandconfidentialityasdefinedhereinandFacilitywillberesponsibleforanybreachofsuchobligationsbysuchperson.FacilityacknowledgesthatitisnotauthorizedtoretainanyInformation.TheforegoingdoesnotapplytoinformationthatFacilityaccessesorreceivesexclusivelyintheordinarycourseofitsbusinessofoperatingajail,detentioncenter,orcorrectionalinstitution.Subjecttoallapplicablestateandfederalbankingregulationsandexcepttotheextentasrequiredbylaw,subpoena,orcourtorder,NumishallkeepallpersonallyidentifiableinformationabouttheCardholdersobtainedorcollectedinconnectionwiththeCardProgram(the"PersonallyIdentifiableinformation")confidentialatalltimes.EntireAgreement.ThisAcknowledgmentsupersedesanyandallpriorwrittenororalagreementsorotherwrittencorrespondencebetweenthepartiesandconstitutestheentireagreementbetweenNumiandFacility.MutualIndemnification.Facilityagreestothefullestextentofthelawthatexceptfortheamount,ifany,ofdamagecontributedto,causedby,orresultingfromthenegligenceorbreachofthisAgreementbyNumi,FacilitywillindemnifyandholdharmlessNumi,itsofficers,employeesandagentsfromandagainstanyandallliability,damage,claims,demands,costs,judgments,fees,attorneys'feesorlossarisingdirectlyoutofthenegligentactsoromissions,Cardand/orCardProgrammisuse,and/ortheft,orfrombreachofthisAgreementbyFacility,Facility'spersonnel,orthirdpartiesunderthedirectionorcontrolofFacility,andtoprovidedefenseforanddefend,atitssoleexpense,anyandallclaims,demandsorcausesofactiondirectlyorindirectlyarisingoutoftheactsoromissionsreferredtointhisparagraphandtobearallothercostsandexpensesrelatedthereto.WiththeexceptionofanyissuedirectlyorindirectlyrelatedtotheFacility'sunauthorizedmailingofCards,Numiagreestothefullestextentofthelawthatexceptfortheamount,ifany,ofdamagecontributedto,causedby,orresultingfromthenegligenceorbreachofthisAgreementbyFacility,NumiwillindemnifyandholdharmlesstheFacility,itsofficers,employeesandagentsfromandagainstanyandallliability,damages,claims,demands,costs,judgments,fees,attorneys'feesorlossarisingdirectlyoutofthenegligentactsoromissionsorbreachofthisAcknowledgmentbyNumi,Numi'spersonnelorthirdpartiesunderthedirectionorcontrolofNumi,andtoprovidedefenseforanddefend,atitssoleexpense,anyandallclaims,demandsorcausesofactiondirectlyorindirectlyarisingoutoftheactsoromissionsreferredtointhisparagraphandtobearallothercostsandexpensesrelatedthereto.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page7on1
