(1UfYllMay2020ersion11CustomerService.NumiisresponsibleforprovidingcustomerserviceforissuesrelatedtotheCardProgramtobothFacilityandtheCardholders.FacilitywillcooperatewithNumiinprovidingcustomerservicetoCardholdersandwillprovidesuchinformationanddocumentsinFacility'spossessionorcontrolthatNumireasonablyrequestsfromtimetotimeinconnectionwithprovidingcustomerservicetoCardholders.FacilityunderstandsandacknowledgesthatNumi'sCardProgramisacomplexcombinationofhardwareandsoftwarethatishostedbyandinterfacedwithotherserviceproviders,assuch,operationalfailures,malfunctionsandothererrorsmayoccurresultingin,amongotherthings,Cardaccessdenialsand/ordelays,andperiodsofsuspendedservicetoFacilityandCardholders.FacilitywillnotifyNumiand/orterminalsoftwareproviderofCardProgramrelatedoperationalissuesimmediately,andNumiwillusecommerciallyreasonableeffortstominimizesuchissues.GENERALPROVISIONS.AdvertisingandMarketingMaterials.FacilitywillonlyuseProgramMaterialsprovidedbyNumiinconnectionwithitsconductoftheCardProgram.FacilitywillnotalterormodifyanyProgramMaterialswithouttheexpresspriorwrittenconsentofNumi.AuditRights.FacilityacknowledgesthatMastercard®,IssuingBankandanyregulatoryauthorityoranygovernmentalagencywithjurisdictionoverNumiorIssuingBank,totheextentrequiredbysuchauthorityoragency,mayperformanexaminationofFacilitywithrespecttotheCardProgramandFacility'scompliancewithitsobligationshereunder.Numimayperformone(1)on-siteauditofFacilitypercalendaryear,upon10dayspriorwrittennoticetoFacility.AsNumideterminesinitsdiscretion,NumimaypelformanyadditionalauditsofFacilitywithoutnotice,providedthatsuchauditsdonotunreasonablyinterferewiththeFacility'soperationofthejail,detentioncenterorcorrectionalfacility.Facilitywillcooperateandprovideanyinformationthatmayberequiredinconnectionwithanysuchexaminationoraudit.FacilitywillalsoprovideanyinformationthatMastercard®,anyregulatoryauthorityoranygovernmentalagencywithjurisdictionoverNumiorIssuingBankrequiresinconnectionwithanexaminationofNumiorIssuingBankorthatmayberequiredfromtimetotimewithrespecttothefinancialconditionandsecurityandbusinesspracticesofFacility.ChangestoCardProgram.AsbetweenFacilityandNumi,FacilityagreesthatNumiortheCardIssuingBankmayinitssolediscretion,duetoregulatory,market,economicorotherfactors,modifyanyaspectoftheCardProgramincludingcardprogrampricing,Cardholderfees,CardholdereducationmaterialsandCardholderidentificationrequirements.NoticeofanyCardProgrammodificationwillbeprovidedinwritingtotheFacilitypriortoanysuchmodificationtakingeffect.UponreceiptofwrittennoticeofaCardProgrammodificationFacilityherebyagreestoabidebysuchmodificationsinconnectionwithitsobligationsasoutlinedinthisAgreement.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page6of11
