May2020version11PressReleases/Publicity.NumiandFacilityeachagreenottoissueanypressreleaseorpublicstatementsregardingFacility'sparticipationintheCardProgramwithouttheother'spriorconsent.(FacilitiesbasedinFlorida-pleasestrikethisSectionandrefertoExhibitE)PublicRecordsRequest.UponreceiptbyFacilityofapublicrecordsrequestforacopyofthisAgreementoranyothercardprogrammaterials,FacilityherebyagreestoinformNumiinwritingofanysuchrequestpriortoprovidinganyoftherequestedmaterialstothepartyinitiatingthepublicrecordsrequest.(FacilitiesbasedinFlorida-pleaseignorethisSectionandrefertoExhibitE)ReleaseMethods.Facilityhastheauthority,initssoleandabsolutediscretion,tochoosewhichmethodormethodsareusedtoreturninmatetrustfundbalances.TotheextentFacilityutilizesdigitalpaymentsandprepaidcardsforthispurpose,tolimitconsumerconfusionandallowforNumitoprovidepropercustomersupport,solongasthisAgreementisinplace,FacilitywilluseNumiasitsexclusivepaymentsolutionproviderforsuchprepaidcards.TermofNon-DisclosureObligation.TheobligationsofnondisclosureandconfidentialityundertakenhereinwillcontinueforaslongasFacilitywishestoutilizeNumiproductsforanypurpose,orlongerifrequiredbyFinancialRegulations.Termination.ThisAgreementmaybeterminatedbyFacilitywithorwithoutcausebyprovidingninety(90)dayswrittennoticetoNumi.NumimayterminatetheCardProgramandthisAgreementimmediatelyifamaterialbreachofthisAgreementisnotcuredwithin(3)businessdaysofreceiptofwrittennoticeofsuchbreachfromNumi.NumimayalsoterminatethisAgreementiftheissuingBankoranyregulatoryauthorityorgovernmentalagencywithjurisdictionoverIssuingBank,theCardProgram,orNumirequestssuchtermination.Upontermination,FacilitywillreturnallunusedCardinventoryandCardholdereducationmaterialstoNumi.Definitions•"Agreement"meansthisFacilityAgreement.•"Card"meansaNumiPrestigePrepaidMastercard®cardissuedthroughtheCardProgram.•"CardholderAgreement"meansthetermsandconditionsagreementthatmustbedistributedtotheCardholderbytheFacilityinconnectionwithCarduse.TheCardholderAgreementisattachedasExhibitB.•"Cardholder"meansanindividualwhoreceivesaCard.•"CardProgram"meanstheNumiPrestigePrepaidMastercard®program.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page8of11
