ODFI.FacilityauthorizestheOriginatingDepositoryFinancialInstitution(ODFI)designatedbyNumionbehalfofIssuingBanktoinitiateaDAILYACHdebitentryfortheentirebalanceofalldailyCardloadactivitybyFacility.ThedailyACHwillbedebitedfromthebankaccountprovidedordesignatedbyFacilityintheseparateACHagreementbetweenNumiandFacility.IntheeventthatFacilityfailstoauthorizetherequiredorotherwisedefaultsonitsfundingobligationsunderthisAgreement,FacilityacknowledgesthatitisliableforthefundsoutstandingandbothNumiorODFImaypursueacollectionaction.UnauthorizedFacilityActivities.NumihastheunilateralriqhttosuspendorterminatetheCardProgramiftheFacilityfailstopedormitsdutiesasoutlinedherein,orothenNÍSefailstocomplywiththeFinancialRequlationsortherequirementssetforthinthisAqreement.AbreachofanyofthedutiessetforthbelowshallconstituteanunauthorizedFacilityActivityandabreachofthisAgreement.•DeliveryoftheCardholderAgreement.•DeliveryofCardholdereducationalmaterials.•Delivery,executionandstorageofthePrepaidCardReceipt("PCR").•Delivery,executionandstorageoftheSignatureReceipt,ifapplicable.•Inventorysecurity.•MailingCardswithoutobtainingpriorwrittenapprovalfromNumi.•IssuingtwoormoreCardstothesameindividualwithoutfirstnotifyingNumiinwriting.•ActivatingaCardonanydayotherthanthedaythecardistobeprovidedtotheCardholder.IfNumideterminessuchafailureexists,NumiwillnotifyFacilityinwriting,and,ifreasonablycapableofbeingcorrected,Facilitywillhave3businessdaysafterthereceiptofnotificationtocorrectthefailurebeforeNumiterminatestheCardProgram.IfNumideterminesthattheviolationcannotbecuredwithintherequiredtimeframe,NumihastherighttoterminateorsuspendtheCardProgramimmediately.DesignatedCardProgramUse.InadditiontoinmatereleaseCardprograms,NumicanprovideCardprogramsdesignedforspecificapplicationssuchastrustfunddisbursementstoFriendsandFamily,WorkReleaseprograms,andotheragencydisbursementactivities.UseofaCardProgramforitsunintendedpurposeisaviolationofthisAgreement.PleasecontactNumiifyouareinterestedinadditionalCardprograms.Training.Facility,withtheassistanceofNumiasneeded,willprovidesufficienttrainingforallemployees,representatives,contractorsorotherindividualsconductingtheCardProgramtoensurecompliancewiththeFinancialRegulationsandthisAgreement.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinanciaLPage5of11
