availableuponrequestbyelectronicmailtocompliance@numifinancial.com,orbycontactingNumiat760-444-5525.MailingCardsProhibited.MailingCardsisstrictlyprohibitedunderthetermsofthisAgreement.DONOTmailactivatedcards.Thisisforyourprotection.MailingactivatedCardsputstheFacilityandtheCardrecipientsatriskforpotentialfraudandsecurityissues.NumiwillnotberesponsibleforanyfraudulentactivityorsecurityissuesthataredirectlyorindirectlyrelatedtothemailingofactivatedCards.Sincethisisnotanapprovedpractice,FacilitymustdefendandfullyindemnifyNumiforanycosts,claimsorlossesarisingoutoforrelatedtothemailingofCards.IftheFacilitywouldliketomailcardstoindividuals,thencontactNumiimmediatelytoobtainaCardProgramthatisdesignedformaileddistribution.SystemSecurity.Neitherpartywilltransmitordisseminatetotheotherparty,theotherparty'sserviceproviders,ortheirrespectivenetworksorsystemsanyviruses,Trojanhorses,worms,timebombs,cancelbots,orothercomputerprogrammingroutines(collectively,"Viruses")thatareintendedtodamage,detrimentallyinterferewith,surreptitiouslyinterceptorexpropriateanysystem,data,orpersonalinformation.Eachpartywillusethen-currentindustrystandardsecurityandantivirustoolstodetectandeliminateViruses.LoadLimits.UnlessotherwiseauthorizedinwritingbyNumi,theCardProgram(s)coveredbythisAgreementallowstheFacilitytodisburseuptoatotalof$9,999perCardholderininmatetrustfundsupontheinmate'sreleasefromtheFacility.ReimbursementofLoadedFunds.Facility,orFacility'sassignedFiduciaryBankingAgent,mustensurethatthereareadequatefundsavailableandaccessibletoIssuingBanktocovertheFacility'sdailyCardloadingactivity.IfaFacilitychoosestohavetheobligationsofthissectionperformedbyaFiduciaryBankingAgent,boththeFacilityandtheFiduciaryBankingAgentmustexecuteacopyofthisAgreementwithNumi.Inaddition,Facility,orFacility'sFiduciaryBankingAgent,mustexecutetheseparateACHauthorizationagreement.TheACHauthorizationwillremaininfullforceandeffectuntilNumireceiveswrittennoticeofterminationasrequiredinthisAcknowledgment.Uponreceiptofthenoticeoftermination,NumiwillinformtheIssuingBankthatisperformingtheACHactivitiesofsuchtermination.FacilityunderstandsthattheunsuccessfulcollectionoffundsbyIssuingBankwillresultintheimmediatesuspensionoftheCardProgramatFacilityuponnoticebyNumiofthebreachofthisfundingobligation,andNumiwillhavetheunilateralrighttosuspendorterminatetheCardProgramattheFacility.TheFacility,orFacility'sassignedFiduciaryBankingAgent,agreesitwillnotinitiateareturnorstoppay,withtheirbank,foranyACHsettlementitemfortheCardloadingactivity.IftheFacilityorFacility'sassignedFiduciaryBankingAgenthasanyissues,objectionsordiscrepanciesregardingtheamountsoftheACHitems,theFacilityshouldcontactNumidirectlytoresolve.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page4of11
