<br />PURCHASER agrees to accept full responsibility for the safety of all members of the audience, PURCHASER'S
<br />staff, facility staff, ARTIST and ARTIST'S representatives and employees while in the confines or on the grounds
<br />of the facility(s) for this engagement, and further indemnifies PRODUCER and/or ARTIST from any claims of
<br />damage to property or person which may result from the collapse of stage, barrier, platform, sound and/or lighting
<br />equipment, etc. Also, as security measures are the responsibility of PURCHASER, claims which may arise from
<br />problems stemming from an incident involving poor planning and/or actual execution of crowd control, ei er while

<br />entering, while inside or while exiting the facility(s), shall remain the PURCHASER'S sole liability and

<br />a. PURCHASER agrees to indemnify and hold harmless PRODU ER and ARTIST and it's employees,

<br />contractors, managers, and/or agents from and against any and all claims, costs (including attorney's fees and
<br />court costs), expenses, damages, liabilities, losses or judgements arising out of or in connection with any claim•

<br />demand or action made by any third party, if such are sustained as a direct or indirect consequence of this

<br />b. PURCHASER shall also indemnify and hold harmless PRODUCER and ARTIST and it's employees,

<br />contractors, managers, and/or agents from and against all loss, damage and/or destruction occurring to it and/or

<br />it's employees, sub-contractors, or agents' instruments and equipment at the place of the engagement includin

<br />but not limited to, damage, loss or destruction caused by an Act of God.
<br />17, INSURANCE
<br />PURCHASER agrees to provide the comprehensive general liability insurance (including without limitation,
<br />coverage to protect against any and all injury to persons or property as a consequence of the installation and/or
<br />operation of the equipment and instruments provided by PRODUCER and(or their employees, sub-contractors, and
<br />agents.) Such liability insurance shall be in the amount required by the venue, but in no event shall have a limit of
<br />less than One Million dollars (S 1,000,000.00) combined single limit for bodily injury and property damage. Such
<br />insurance shall be in full force and in effect at all times PRODUCER, ARTIST, any of PRODUCER'S or
<br />ARTIST'S agents or independent contractors are in the place of performance. PURCHASER further warrants and
<br />agrees that said insurance policy should name PRODUCER and ARTIST, their agents, servants, and employees as
<br />additional insured parties for the full period of the engagement hereunder. F reel o e-a-

<br />If there is any assessment of tax by any taxing authority for monies earned during the performance(s), said taxes
<br />shall be paid by the PURCHASER and it is fully understood and agreed that no deductions whatsoever in respect of
<br />such taxes shall be taken from the price contained herein or in any percentage earned hereunder. This is an
<br />independent contractor Contract. THE ARTIST MAY BE SUBJECT TO
<br />LOCAL, STATE OR FEDERAL INCOME
<br />OR SIMILAR TAXES REQUIRED By
<br />ANY GOVERNMENTAL AUTHORITY
<br />EXERCISING CONTROL OR TAXING
<br />AUTHORITY OVER THIS EVENT.
