iaterlacal Agreement 1'or Profesdoaal Services <br />Between the Ellensburg Business Development Authority <br />And the City of Ellensburg for Provision of Administrative and project Services <br />This Interlocal Agreement for Provision of Administrative and Project Services (the <br />"Agreement") is entered into by and between the Ellensburg Business Development Authority, a <br />public development authority chartered under Washington law (the "EBDA') and the City of <br />Ellensburg, a municipal corporation (the "City"), sometimes collectivelyreferred m herein as the <br />"Parties" or individually as a "Party". <br />WHEREAS, the EBDA is a public development authority created by the City of Ellensburg <br />under Title 3511 RCW and Ellensburg Ordinance No. 3895, as amended, and operates under its <br />adopted Charter and Bylaws: and <br />WHEREAS, the EBDA's primary purpose is dedicated to promoting economic <br />development projects within the territorial limits of the City and outside the territorial Iimits of the <br />City to the extent authorized by RCW 35.21.740; and <br />WHEREAS, the City is the owner of the "Ellensburg Business Incubator Building" located <br />at 1000 Prospect, Ellensburg, heretofore referred to as Business Incubator which is leased and <br />operated by the EBDA for the purpose of supporting new, recently formed or expanding businesses <br />in Ellensburg to help promote economic development opportunities within the City; and <br />WHEREAS, having the City provide administrative and project services to the EBDA is <br />the most economical and logistically efficient means of procuring these services; and <br />WHEREAS, the City is permitted by RCW 35.21.730(!) to provide such services with or <br />without compensation being received from the EBDA; and <br />WHEREAS, the EBDA wishes to engage the City for administrative and project services <br />on the terms and conditions set forth below; <br />NOW THEREFORE, in consideration of the above recitals and the mutual promises and <br />benefits contained herein, the Parties hereby agree as follows: <br />SECTION X: SCOPE <br />I.I. Parties. This Agreement is made by and between the Ellensburg Business <br />Development Authority, a public development authority, herein referred to as the <br />"EBDA," and the City of Ellensburg, a Washington municipal corporation, herein <br />referred to as the "City", <br />1.2. Purpose. The purpose of this Agreement is to specify certain terms and conditions <br />allowing the EBDA to obtain administrative support, project, financial, and building <br />maintenance services from the City while the EBDA leases and manages the City - <br />Interlocal Agreement between City of Ellensburg and EBDA far Professional Services <br />Page 1 of 4 <br />
