owned Business Incubator as well as the EBDA's own light industrial building <br />(`'Airport Building") located at 3110 Airport Road, Ellensburg. <br />1.3. Term. This Agreement is effective and shall cornmence on the date of approval of this <br />Agreement by the City which shall occur following the date of approval of this <br />Agreement by the EBDA, and shall continue until terminated as provided herein. <br />1.4. Termination. This Agreement may be terminated for any reason at any time by either <br />party upon thirty (30) days' prior written notice by one Party to the other. <br />1.5. Amendments. This Agreement may be amended only upon written agreement of the <br />parties executed in the same manner as provided by law for the execution of this <br />Agreement. <br />SECTION 2: DUTIES OF THE PARTIES <br />2.1. City Duties, The City agrees to provide the following services, as requested by the <br />EBDA: <br />a) Administrative Support. Provide meefmg scheduling, meeting advertising, <br />preparation of Board agendas and minutes, meeting location, and preparation and <br />distribution of correspondence and other necessary administrative functions_ <br />b) Financial Services. Maintain the official financial records of the EBDA and support <br />the processing, recording and reporting of accounts payable, loan payments and <br />associated transactions, and cash and investment transactions. Provide outer services <br />to include budget preparation, financial reporting, filing of State and Federal financial <br />documents, coordination of annual State audit, risk management, and procurement. <br />c) Tenant Services. Provide services, directly or througb a contractor, to tenants of <br />EBDA's leased or owned properties, including but not limited to, lease negotiations <br />and renewals, invoicing, marketing, business consulting. <br />d) Building Maintenance Services. Provide periodic, routine, and emergency <br />maintenance for the City's Ellensburg Business Incubator Building. <br />e) Use of Facilities. The City agrees to allow the EBDA use of City meeting facilities when <br />such facil ities are available. <br />tj Economic Development Consulting Services. The City agrees to provide economic <br />development consulting services in response to inquiries or referrals concerning potential <br />business davelopmtnt in the City. <br />2.2. EBDA Duties. The City will provide the services in Section 2.1 above at no expense <br />to the EBDA. In exchange.
