~ Badger Meter <br />4. MISCELLANEOUS. <br />Exclusions <br />BADGER METER <br />BEACON AMA MANAGED SOLUTION <br />MASTER AGREEMENT <br />Kittitas (~Oll il t \ <br />,... '\ " II I r" \ 1 1 ' r.-- <br />The BEACON Portal and Service Availability Promise and Monthly Billing Data Service Promise do <br />not apply to any of the following performance issues: <br />(i) Resulting from any actions or inactions of Customer, its Authorized Users or Authorized <br />Consumers; <br />(ii) Resulting from Customer or its suppliers equipment, software, or other technology and/ or <br />Customer's third party equipment, software, or other technology outside of Badger Meter's <br />control; <br />(iii) Caused by failures, including, but not limited to, internet connectivity, port availability, <br />firewall configuration, or cellular networks at Customer's location; <br />(iv) Resulting from Customer's breach of any term or condition under the Agree ment; <br />(v) Caused by unexpected or unintentional RF interference or signal obstruction caused by <br />sources not present or not in use during endpoint installation; <br />(vi) Caused by intentional RF interference or signal obstruction not present during endpoint <br />installation, caused by third parties; <br />(vii) Caused by Customer, an Authorized User's or an Authorized Consumer's misuse or abuse of <br />the Portal or Service; <br />(viii) During an event triggering a disaster recovery and for a twenty-four (24) hour period after the <br />resumption of the Service following such an event to allow for the system to return to normal <br />operating ranges; <br />(ix) Arising from Badger Meter's suspension or termination of Customer's right to use the <br />BEACON Managed Solution in accordance with the Agreement; <br />(x) Arising from failure of Customer to follow Badger Meter's published installation, operation <br />and maintenance instructions and Clarifications from Badger Meter's Preliminary Network <br />Design; <br />(xi) When outdoor temperatures either exceed or are below the endpoint operating temperature <br />range as described in the applicable product data sheet. <br />(xii) Accounts read using manual, touch read, handheld and mobile technology are not included as <br />part of the Monthly Billing Data Service Promise, as these reading technologies are outside of <br />Badger Meter's control. <br />In the event Badger Meter does not meet a Service Promise hereunder, Badger Meter will conduct a <br />commercially reasonable root cause analysis of the Service promise failure. If Badger Meter's <br />analysis is inconclusive, or if Badger Meter concludes that circumstances outside of Badger Meter's <br />control caused the Service promise failure, or if Badger Meter concludes that a failure falls under any <br />other exclusions described hereunder, Customer will not be entitled to a Service Credit. If Badger <br />Meter's analysis is conclusive and that circumstances within Badger Meter's control caused the <br />Service failure, Customer will be eligible to receive a Service Credit as described above. <br />©2015 Badger Meter, Inc .
