17.VenueandChoiceofLaw:IntheeventthatanylitigationshouldariseconcerningtheconstructionorinterpretationofanyofthetermsofthisAgreement,thevenueofsuchactionoflitigationshallbeintheSuperiorCourtoftheStateofWashingtoninandfortheCountyofKittitas.ThisAgreementshallbegovernedbythelawsoftheStateofWashington.18.WithholdinqPayment:IntheeventtheConsultanthasfailedtoperformanyobligationtobeperformedbytheConsultantunderthisAgreementwithinthetimesetforthinthisAgreement,thentheCountymay,uponwrittennotice,withholdallmoniesdueandpayabletoConsultant,withoutpenalty,untilsuchfailuretoperformiscuredorotherwiseadjudicated.19.FutureNon-AllocationofFunds:IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCountywillnotbeobligatedtomakepaymentsforservicesoramountsincurredaftertheendofthecurrentfiscalperiod.NopenaltyorexpenseshallaccruetotheCountyintheeventthisprovisionapplies.20.ContractorCommitments,WarrantiesandRepresentations:AnywrittencommitmentreceivedfromtheConsultantconcerningthisAgreementshallbebindingupontheConsultant,unlessotherwisespecificallyprovidedhereinwithreferencetothisparagraph.FailureoftheConsultanttofulfillsuchacommitmentshallrendertheConsultantliablefordamagestotheCounty.Acommitmentincludes,butisnotlimitedtoanyrepresentationmadepriortoexecutionofthisAgreement,whetherornotincorporatedelsewherehereinbyreference,astoperformanceofservicesorequipment,pricesoroptionsforfutureacquisitiontoremainineffectforafixedperiod,orwarranties.21.Patent/CopyrightInfringement:ConsultantwilldefendandindemnifytheCountyfromanyclaimedaction,causeordemandbroughtagainsttheCounty;totheextentsuchactionisbasedontheclaimthatinformationsuppliedbytheConsultantinfringesanypatentorcopyright.TheConsultantwillpaythosecostsanddamagesattributabletoanysuchclaimsthatarefinallyawardedagainsttheCountyinanyaction.Suchdefenseandpaymentsareconditioneduponthefollowing:21.1ConsultantshallbenotifiedpromptlyinwritingbyCountyofanynoticeofsuchclaim.21.2Consultantshallhavetheright,hereunder,atitsoptionandexpense,toobtainfortheCountytherighttocontinueusingtheinformation,intheeventsuchclaimofinfringementismade,providednoreductioninperformanceorlossresultstotheCounty.22.Disputes:22.1GeneralDifferencesbetweentheConsultantandtheCounty,arisingunderandbyvirtueoftheAgreementDocumentsshallbebroughttotheattentionoftheCountyattheearliestpossibletimeinorderthatsuchmattersmaybesettledorotherappropriateactionpromptlytaken.ExceptforsuchobjectionsasaremadeofrecordinthemannerhereinafterspecifiedandwithinthetimelimitsProfessionalServicesAgreementPage8
