stated,therecords,orders,instructions,anddecisionsoftheKittitasCountyCommissionersshallbefinalandconclusive.22.2NoticeofPotentialClaimsTheConsultantshallnotbeentitledtoadditionalcompensationwhichotherwisemaybepayable,ortoextensionoftimefor(1)anyactorfailuretoactbytheCounty,or(2)thehappeningofanyeventoroccurrence,unlesstheConsultanthasgiventheCountyawrittenNoticeofPotentialClaimwithinten(10)daysofthecommencementoftheact,failure,oreventgivingrisetotheclaim,andbeforefinalpaymentbytheCounty.ThewrittenNoticeofPotentialClaimshallsetforththereasonsforwhichtheConsultantbelievesadditionalcompensationorextensionoftimeisdue,thenatureofthecostinvolved,andinsofaraspossible,theamountofthepotentialclaim.Consultantshallkeepfullandcompletedailyrecordsoftheworkperformed,laborandmaterialused,andallcostsandadditionaltimeclaimedtobeadditional.22.3.DetailedClaimTheConsultantshallnotbeentitledtoclaimanysuchadditionalcompensation,orextensionoftime,unlesswithinthirty(30)daysofthecompletionoftheportionoftheworkfromwhichtheclaimarose,andbeforefinalpaymentbytheCounty,theConsultanthasgiventheCountyadetailedwrittenstatementofeachelementofcostorothercompensationrequestedandofallelementsofadditionaltimerequired,andcopiesofanysupportingdocumentsevidencingtheamountorextensionoftimeclaimedtobedue.23.OwnershipofltemsProduced:Allwritings,programs,data,publicrecordsorothermaterialspreparedbytheConsultantand/oritsconsultantsorsubcontractors,inconnectionwithperformanceofthisAgreementshallbethesoleandabsolutepropertyoftheCounty.24.Confidentiality:TheConsultant,itsemployees,subcontractors,andtheiremployeesshallmaintaintheconfidentialityofallinformationprovidedbytheCountyoracquiredbytheConsultantinperformanceofthisAgreement,exceptuponthepriorwrittenconsentoftheKittitasCountyProsecutingAttorneyoranorderenteredbyacourtafterhavingacquiredjurisdictionovertheCounty.ConsultantshallimmediatelygivetotheCountynoticeofanyjudicialproceedingsseekingdisclosureofsuchinformation.ConsultantshallindemnifyandholdharmlesstheCounty,itsAdditionalInsured's,officials,agentsoremployeesfromalllossorexpense,including,butnotlimitedtosettlements,judgments,setoffs,attorneys'feesandcostsresultingfromConsultant'sbreachofthisprovision.25.Notice:ExceptassetforthelsewhereintheAgreement,forallpurposesunderthisAgreement,exceptserviceofprocess,noticeshallbegivenbytheConsultanttothedepartmentheadofthedepartmentforwhomservicesarerendered,andtotheKittitasCountyCommissioners,205W5thAve,Suite108,Ellensburg,WA98926.NoticetotheConsultantforallpurposesunderthisAgreementshallbegiventotheaddressreflectedProfessionalServicesAgreementPage9
