damagetotheCountyresultingfromsuchdefault(s)shallbedeductedfromanyrnoneydueorcomingduetotheConsultant.TheConsultantshallbearanyextraexpensesincurredbytheCountyincompletingthework,andalldamagesustained,orwhichmaybesustainedbytheCountybyreasonofsuchdefault.IfanoticeofterminationfordefaulthasbeenissuedanditislaterdeterminedforanyreasonthattheConsultantwasnotindefault,therightsandobligationsofthepartiesshallbethesameasifthenoticeofterminationhadbeenissuedpursuanttotheTerminationforPublicConvenienceparagraphhereof.14.TerminationforPublicConvenience:TheCountymayterminatetheAgreementinwholeorinpartwhenevertheCountydetermines,initssolediscretionthatsuchterminationisinthebestinterestsoftheCounty.WhenevertheAgreementisterminatedinaccordancewiththisparagraph,theConsultantshallbeentitledtopaymentforactualworkperformedatunitcontractpricesforcompleteditemsofwork.Anequitableadjustmentinthecontractpriceforpartiallycompleteditemsofworkwillbemade,butsuchadjustmentshallnotincludeprovisionforlossofanticipatedprofitondeletedoruncompletedwork.TerminationofthisAgreementbytheCountyatanytimeduringtheterm,whetherfordefaultorconvenience,shallnotconstituteabreachofcontractbytheCounty.15.Defense&IndemnityAqreement:TheConsultantagreestoandshalldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsured's,appointedandelectedofficersandemployees,fromandagainstalllossorexpense,includingbutnotlimitedtojudgments,settlements,attorney'sfeesandcostsbyreasonofanyandallclaimsanddemandsupontheCounty,itsAdditionalInsured's,itselectedorappointedofficialsoremployeesfordamagesbecauseofpersonalorbodilyinjury,includingdeathatanytimeresultingtherefrom,sustainedbyanypersonorpersonsandonaccountofdamagetopropertyincludinglossofusethereof,whethersuchinjurytopersonsordamagetopropertyisduetothenegligenceoftheConsultant,itssubcontractors,itselectedofficers,employeesortheiragents,exceptonlysuchinjuryordamageasshallhavebeenoccasionedbythesolenegligenceoftheCounty,itsAdditionalInsured's,appointedorelectedofficialsoremployees.ItisfurtherprovidedthatnoliabilityshallattachtotheCountybyreasonofenteringintothiscontract,exceptasexpresslyprovidedherein.16.IndustrialInsuranceWaiver:WithrespecttotheperformanceofthisAgreementandastoclaimsagainsttheCounty,itsAdditionalInsured's,officers,agentsandemployees,theConsultantexpresslywaivesitsimmunityunderTitle51oftheRevisedCodeofWashington,theIndustrialInsuranceAct,forinjuriestoitsemployeesandagreesthattheobligationstoindemnify,defendandholdharmlessprovidedinthisagreementextendtoanyclaimbroughtbyoronbehalfofanyemployeeoftheConsultant.ThiswaiverismutuallynegotiatedbythepartiestothisAgreement.ProfessionalServicesAgreementPage7
