11.RiqhttoReview:ThiscontractissubjecttoreviewbyanyFederalorStateauditor.TheCountyoritsdesigneeshallhavetherighttoreviewandmonitorthefinancialandservicecomponentsofthisprogrambywhatevermeansaredeemedexpedientbytheCounty.Suchreviewmayoccurwithorwithoutnotice,andmayinclude,butisnotlimitedto,on-siteinspectionbyCountyagentsoremployees,inspectionofallrecordsorothermaterialswhichtheCountydeemspertinenttotheAgreementanditsperformance,andanyandallcommunicationswithorevaluationbyservicerecipientsunderthisAgreement.TheConsultantshallpreserveandmaintainallfinancialrecordsandrecordsrelatingtotheperformanceofworkunderthisAgreementfor3yearsaftercontracttermination,andshallmakethemavailableforsuchreview,withinKittitasCounty,StateofWashington,uponrequest.12.Modifications:12.1EitherpartymayrequestchangesintheAgreement.Anyandallagreedmodificationsshallbeinwriting,signedbyeachoftheparties.12.2TheCountymay,atanytime,bywrittennoticethereoftoConsultant("ChangeNotice")makechangesintheWorkwithinthegeneralscopeofthisAgreement,including,butnotlimitedto:(a)changesin,revisionsto,substitutionsfor,additionstoordeletionsofanyWork;(b)changesinschedule;and(c)acceleration,decelerationorsuspensionofperforrnanceofanyWork.12.3IfanychangeintheWorkcausesanincreaseordecreaseonConsultant'scostof,orthetimerequiredfor,performanceoftheWork,anequitableadjustmentinthecompensationtoConsultantandintheschedulefortheperformanceoftheWorkshallbemadetoreflectsuchanincreaseordecrease.12.4Notwithstandinganydisputeordelayinarrivingatamutuallyacceptableequitableadjustment,ConsultantshallproceedinaccordancewithallChangeNotices.Consultantmust,withinthirty(30)daysafterreceiptofanyChangeNoticethatdoesnotsetforthanyacceptableadjustment,submittotheCountyawrittenstatementsettingforthanyadjustmentclaimed.12.5IfanychangeresultsinadecreaseintheWorkperformed,ConsultantshallbeentitledtocompensationassociatedwithchangingtheWork,suchasrevisingdocuments.13.TerminationforDefault:IftheConsultantdefaultsbyfailingtoperformanyoftheobligationsoftheAgreementorbecomesinsolventorisdeclaredbankruptorcommitsanyactofbankruptcyorinsolvencyormakesanassignmentforthebenefitofcreditors,theCountymay,bydepositingwrittennoticetotheConsultantintheU.S.mail,postageprepaid,terminatetheAgreement,andattheCounty'soption,obtainperformanceoftheworkelsewhere.IftheAgreementisterminatedfordefault,theConsultantshallnotbeentitledtoreceiveanyfurtherpaymentsundertheAgreementuntilallworkcalledforhasbeenfullyperformed.AnyextracostorProfessionalServicesAgreementPage6
