6.AssignmentandSubcontractinq:NoportionofthisAgreementmaybeassignedorsubcontractedtoanyotherindividual,firmorentitywithouttheexpressandpriorwrittenapprovaloftheCounty.7.IndependentContractor:TheConsultant'sservicesshallbefurnishedbytheConsultantasanindependentcontractorandnothinghereincontainedshallbeconstruedtocreatearelationshipofemployer-employeeormaster-servant,butallpaymentsmadehereunderandallservicesperformedshallbemadeandperformedpursuanttothisAgreementbytheConsultantasanindependentcontractor.TheConsultantacknowledgesthattheentirecompensationforthisAgreementisspecifiedinExhibit"B"andtheConsultantisnotentitledtoanyCountybenefitsincluding,butnotlimitedto:vacationpay,holidaypay,sickleavepay,medical,dental,orotherinsurancebenefits,oranyotherrightsorprivilegesaffordedtoKittitasCountyemployees.Consultantwilldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsured's,officers,agentsoremployeesfromanylossorexpense,includingbutnotlimitedtosettlements,judgments,setoffs,attorneys'feesorcostsincurredbyreasonofclaimsordemandsbecauseofbreachoftheprovisionsofthissection.8.NoGuaranteeofEmployment:TheperformanceofallorpartofthisAgreementbytheConsultantshallnotoperatetovestanyemploymentrightswhatsoeverandshallnotbedeemedtoguaranteeanyemploymentoftheConsultantoranyemployeeoftheConsultantoranysubcontractororanyemployeeofanysubcontractorbytheCountyatthepresenttimeorinthefuture.9.Taxes:TheConsultantunderstandsandacknowledgesthattheCountywillnotwithholdFederalorStateincometaxes.WhererequiredbyStateorFederallaw,theConsultantauthorizestheCountytomakewithholdingforanytaxesotherthanincometaxes(i.e.Medicare).AllcompensationreceivedbytheConsultantwillbereportedtotheInternalRevenueServiceattheendofthecalendaryearinaccordancewiththeapplicableIRSregulations.ItistheresponsibilityoftheConsultanttomakethenecessaryestimatedtaxpaymentsthroughouttheyear,ifany,andtheConsultantissolelyliableforanytaxobligationarisingfromtheConsultant'sperformanceofthisAgreement.TheConsultantherebyagreestoindemnifytheCountyagainstanydemandtopaytaxesarisingfromtheConsultant'sfailuretopaytaxesoncompensationearnedpursuanttothisAgreement.TheCountywillpaysalesandusetaxesimposedongoodsorservicesacquiredhereunderasrequiredbylaw.TheConsultantmustpayallothertaxesincluding,butnotlimitedto:BusinessandOccupationTax,taxesbasedontheConsultant'sgrossornetincome,orpersonalpropertytowhichtheCountydoesnotholdtitle.TheCountyisexemptfromFederalExciseTax.10.RequlationsandRequirement:ThisAgreementshallbesubjecttoalllaws,rulesandregulationsoftheUnitedStatesofAmerica,andStateofWashington,andpoliticalsubdivisionsoftheStateofWashingtonandtoanyotherprovisionssetforthhereinorintheattachedexhibits.ProfessionalServicesAgreementPage5
