GENERALCONDITIONS1.ScopeofContractor'sSentices:ConsultantagreestoprovidetotheCountyservicesandanymaterialssetforthintheprojectnarrativeidentifiedinExhibit"A"duringtheAgreementperiod.Nomaterial,labor,orfacilitieswillbefurnishedbytheCounty,unlessotherwiseprovidedforintheAgreement.2.PerformanceofWork:Consultantshallperformworkinaccordancewith,andshallcomplywith,alloftheprovisionsofthisAgreement.Allworkshallcomplywithapplicablecodesandordinances.3.ScheduleofPedormance:UnlessdirectedotherwisebytheCounty,ConsultantshallperformtheworkinaccordancewithanyschedulesmadeapartofthisAgreement.4.Definitions:4.1"AdditionalInsured's"meanstheCounty,itssuccessorsandassigns,andtherespectivedirectors,officers,employees,agentsandrepresentativesoftheCountyanditssuccessorsandassigns.4.2"Support"meansthefollowing:Consultant'sdirectors,officers,employees,agentsandrepresentatives;andsub-engineers(andarchitects)ofanytier;therespectivedirectors,officers,employees,agentsandrepresentativesofthesesub-engineers(andarchitects)ofanytier;andanyotherpersonorentityactingunderthedirectionorcontrolof,oronbehalfof,ConsultantoranyConsultant'ssub-engineers(andarchitects)ofanytierinconnectionwithorincidenttotheperformanceoftheWorkorthisAgreement.4.3The"Work"meansallofthelanduseplanning,codedevelopment,environmentalreview,andtheperformanceofallotherobligations,underthisAgreementbyConsultantoritsSupport.5.AccountinqandPaymentforContractorServices:PaymenttotheConsultantforservicesrenderedunderthisAgreementshallbeassetforthinExhibit"B."WhereExhibit"B"requirespaymentsbytheCounty,paymentshallbebaseduponbillings,supportedunlessothenviseprovidedinExhibit"B,"bydocumentationofunitsofworkactuallyperformedandamountsearned,includingwhereappropriate,theactualnumberofdaysworkedeachmonth,totalnumberofhoursforthemonth,andthetotaldollarpaymentrequested.UnlessspecificallystatedinExhibit"B"orapprovedinwritinginadvancebytheKittitasCountyBoardofCommissioners,theCountywillnotreimbursetheConsultantforanycostsorexpensesincurredbytheConsultantinperformanceofthisAgreement.Whererequired,theCountyshall,uponreceiptofappropriatedocumentation,compensatetheConsultant,nomoreoftenthanmonthly,throughtheCountyvouchersystem,fortheConsultant'sservicespursuanttothefeeschedulesetforthinExhibit"B."ProfessionalServicesAgreementPage4
