onthesignaturepage.NoticemaybegivenbydeliveryorbydepositingintheU.S.Mail,firstclass,postageprepaid.26.Severability:IfanytermorconditionofthisAgreementortheapplicationthereoftoanyperson(s)orcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditionsorapplicationswhichcanbegiveneffectwithouttheinvalidterm,conditionorapplication.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.27.Miscellaneous:27.1TheCounty'sfailureordelaytoinsistuponstrictperformanceofanyoftheprovisionsofthisAgreementortoexerciseanyrightsorremediesunderthisAgreementshallnotbeconstruedasawaiverorrelinquishmenttoanyextentofitsrighttoassertorrelyuponanysuchprovisions,rightsorremediesinthatoranyotherinstance;ratherthesameshallbeandremaininfullforceandeffect.27.2ThisAgreementembodiestheentireAgreementbetweentheCountyandConsultant,andsupersedesanyandallprioragreements,regardingtheWork.Nochange,amendmentormodificationofanyprovisionsofthisAgreementshallbevalidunlesssetforthinawritteninstrumentsignedbythepartytobeboundthereby.27.3TherightsandremediesoftheCountysetforthinanyprovisionofthisAgreementareinadditiontoanddonotinanywaylimitanyotherrightsorremediesaffordedtotheCountybyanyotherprovisionsofthisAgreement,byanyofConsultant'sSupportorbylaw.27.4UnlesstheCountyprovidespriorwrittenapproval,onlythoseindividualslistedin"ExhibitB"areauthorizedtobilltheCountyforworkperformedpursuanttothisAgreement.Thescopeofthiscontractisexpresslyintendedtoprovideplanning-relatedsupportinKittitasCounty.TheConsultantisnotbeinghiredtorepresenttheCountybeforeanyadministrativetribunalorcourtoflaworinanyotherlegalproceeding,otherthantheCounty'sinternalpermitreviewproceedings.28.Waiver:WaiverofanybreachorconditionofthisAgreementshallnotbedeemedawaiverofanypriororsubsequentbreach.NotermsorconditionsofthisAgreementshallbeheldtobewaived,modifiedordeletedexceptbyaninstrument,inwriting,signedbythepartieshereto.29.Survival:Theprovisionsofparagraphs7,9,11,13,14,15,16,17,18,19,20,21,22,23,24,and28,shallsurvive,notwithstandingtheterminationorinvalidityofthisAgreementforanyreason.30.EntireAgreement:ThiswrittencontractrepresentstheentireAgreementbetweenthepartiesandsupersedesanypriororalstatements,discussionsorunderstandingsbetweentheparties.ProfessionalServicesAgreementPage10
