MEMORANDUM OF UNDERSTANDING <br />FOR USE OF SPONSORSHTP FUNDING FOR CAPITAT IMPROVEMENT PROJECT <br />I.INTRODUCTION <br />This Memorandum of Understanding ("MOU") is entered into between Ellensburg Rodeo <br />Association ("RODEO") and Kittitas County ("COUNTY"). The above entities are individually <br />referred to as a "PARTY "and collectively referred to as the "PARTIES". <br />I!. PURPOSE <br />This MOU sets forth the guidelines for the one-time use of 309 KVEC Capital lmprovement <br />Funds (the "FUNDS") raised by facility sponsorships on the Rodeo Grounds owned by COUNTY, <br />to reimburse the Ellensburg Rodeo on the approved proiect as further described in Section lV. <br />herein. The project was originally supposed to be contracted by COUNW, but due to a <br />miscommunication with the project contractor the project was accidentally contracted with <br />RODEO. The contractor cannot redo the project contracts that are already set in motion, so the <br />MOU allows reimbursement to RODEO for the costs that should have been attributed to the <br />COUNTY. <br />III. GUIDING PRINCIPLES <br />All pARTIES agree to follow the concepts and principles incorporated herein, which were <br />prepared by COUNTY. <br />a. The project meets prevailing wage requirements. <br />b. The project is being done by a COUNTY service provider already contracted through a <br />state contract, which the RODEO was directed to use by COUNW. <br />c. The funds were already approved by the BOCC to be allocated towards this project <br />during an Event Center Study Session. <br />d. The COUNW has received copies of the project contracts. <br />IV. PROJECT <br />The project includes all elements from design to installation of a new fire suppression system in <br />the Western Village (west side complex). The requirement for the system stems from an <br />expansion of the VIP Room in which construction for that expansion is being fully funded by <br />RODEO. The project is currently covered by three separate contracts, which are attached <br />hereto. The first two contracts were executed by RODEO and are the only two contracts eligible <br />for reimbursement to RODEO under the purpose of this MOU. The last contract was executed <br />by COUNTy and will be directly paid by the COUNTY. Both the reimbursement to RODEO and <br />the direct payment to the contractor will come from the KVEC Capital lmprovements Fund. <br />V. DURATION AND TERMINATION <br />This MOU shall take effect when authorized representatives of all PARTIES have signed, and it
