Page 6 <br />9.5 County Contract Authority. The County is the sole contracting party with TFG. Nothing in this Agreement <br />requires the County to direct, authorize, pay, amend, renew, suspend, or terminate the County-TFG Contract in <br />a manner inconsistent with applicable law, County procurement and contracting requirements, available <br />appropriations, the County's fiscal interests, or the County-TFG Contract. The County may take prompt action <br />necessary to preserve contractual rights, address vendor nonperformance, prevent unauthorized expenditures, <br />or comply with legal and ethical obligations. <br />9.6 Records and Public Disclosure. Each Party shall retain and disclose records in accordance with the <br />Washington State Public Records Act, chapter 42.56 RCW, and other applicable law. Kittitas County shall <br />maintain financial records relating to the Consortium in accordance with applicable law and County records- <br />retention requirements. <br />9.7 Conflicts of Interest; Public Purpose; Political Activity. Each Party shall disclose to the County and the other <br />Parties any actual or potential conflict of interest material to its performance under this Agreement. Any material <br />conflict affecting County administration or the County-TFG contract must be addressed through written County <br />approval and an appropriate mitigation measure before the affected work proceeds. The Parties shall comply <br />with applicable public-agency ethics requirements. All work performed under this Agreement and the County- <br />TFG contract shall concern official governmental or institutional purposes. Consortium funds, staff time, <br />property, communications, and other resources shall not be used for campaign activity, political contributions, <br />gifts, entertainment, or ballot-measure activity prohibited by applicable law. <br />9.8 No Third-Party Beneficiaries. This Agreement is for the benefit of the Parties only and does not create rights <br />in any third party, including TFG. <br />9.9 Entire Agreement. This Agreement, including its exhibits and written amendments, constitutes the entire <br />understanding among the Parties regarding the Consortium. <br />9.10 Filing and Effective Date. As a condition precedent to this Agreement entering into force, Kittitas County <br />shall file a fully executed copy of this Agreement with the Kittitas County Auditor. The County shall retain <br />evidence of filing and provide it to the Parties on request. This filing obligation does not limit any additional <br />posting, filing, or public-availability requirement that may apply under chapter 39.34 RCW or other applicable <br />law. <br />9.11 Counterparts and Electronic Signatures. This Agreement may be executed in counterparts, each of which <br />is deemed an original, and all counterparts together constitute one instrument. Electronic signatures are <br />effective to the extent permitted by applicable law.
